- Acceptance: This Quotation Estimate shall be deemed accepted upon written confirmation (email or signed copy) by the client within the validity period. No work shall commence prior to receipt of a signed Purchase Order referencing Quotation Estimate No. QEST-2025-BER-04782.
- Payment Terms: 30% advance payment upon contract execution; 40% upon completion of the on-site Marine Engineer inspection and diagnostic phase in Germany Berlin; 30% upon final delivery of all technical reports and documentation. All invoices are payable within 14 days of issue via SEPA bank transfer to the account of NorthSea Marine Engineering Solutions GmbH, IBAN DE89 3704 0044 0532 0130 00, BIC COBADEFFXXX.
- Marine Engineer Qualifications: The assigned Marine Engineer shall hold a minimum of 10 years of post-qualification experience in commercial marine engineering, a valid Class 1 Engineer's Certificate issued under the STCW Convention, and current German statutory surveyor accreditation. A copy of the CV and certifications is attached as Appendix A to this Quotation Estimate.
- Working Location: All on-site services shall be performed at the client's designated facilities within Germany Berlin, primarily at Hafen Berlin-Spandau and the Spree River Industrial Zone. The Marine Engineer shall comply with all site-specific health, safety, and environmental protocols in force at the time of engagement.
- Regulatory Compliance: All engineering work performed by the Marine Engineer shall conform to the German Waterway Act, the Federal Water Act (WHG), applicable DIN and EN standards, and the requirements of the Germanischer Lloyd classification society. The Marine Engineer shall ensure that all findings and recommendations are documented in both German and English.
- Insurance and Liability: NorthSea Marine Engineering Solutions GmbH maintains professional indemnity insurance of no less than EUR 5,000,000 per claim and public liability insurance of EUR 10,000,000, valid throughout the territory of Germany Berlin and the Federal Republic of Germany. Certificates of insurance are available upon request.
- Confidentiality: All technical data, vessel particulars, and operational information disclosed to the Marine Engineer in the course of this engagement shall be treated as strictly confidential and shall not be disclosed to any third party without prior written consent of the client, in accordance with the German Federal Data Protection Act (BDSG) and the EU General Data Protection Regulation (GDPR).
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to severe weather affecting the Spree River, government-mandated port closures in Germany Berlin, or acts of authority.
- Governing Law and Jurisdiction: This Quotation Estimate and any resulting contract shall be governed by the laws of the Federal Republic of Germany. Any disputes arising herefrom shall be subject to the exclusive jurisdiction of the competent courts in Berlin, Germany.
- Amendments: Any modification to the scope, pricing, or terms of this Quotation Estimate must be agreed upon in writing by both parties and shall be documented as a formal Change Order referencing the original Quotation Estimate number.
