1. Subject and Purpose of This Quotation Estimate

This Quotation Estimate is issued by Oceanic Marine Services & Consultancy Ltd. to Société Maritime Ivoirienne (SMI) for the provision of a qualified Marine Engineer to be deployed and stationed at the client's operational facilities in Ivory Coast Abidjan. The purpose of this document is to outline the full scope of services, associated costs, payment terms, and conditions governing the engagement. This Quotation Estimate covers a twelve-month contract period commencing on 1 August 2025 and concluding on 31 July 2026, subject to mutual agreement and formal contract execution.

2. Scope of Services – Marine Engineer Deployment

The Marine Engineer to be provided under this Quotation Estimate shall hold a valid Class 1 Marine Engineer's Certificate of Competency (MECO) issued under the STCW Convention, with a minimum of fifteen (15) years of progressive experience in the maintenance, operation, and repair of marine propulsion systems, auxiliary machinery, and electrical installations aboard commercial vessels. The Marine Engineer shall be assigned to the client's fleet operations and shore-based maintenance facilities located in the Port of Vridi and the industrial zone of Ivory Coast Abidjan.

Key responsibilities of the Marine Engineer include, but are not limited to:

  • Supervision and execution of preventive and corrective maintenance on main engines, generators, boilers, and auxiliary systems across the client's vessel fleet.
  • Conducting technical inspections and condition monitoring of marine machinery in compliance with International Maritime Organization (IMO) regulations and the requirements of the Ivorian Maritime Authority (Direction des Affaires Maritimes).
  • Preparing and maintaining technical logs, maintenance schedules, and compliance documentation for all vessels registered or operating under the flag of the Republic of Côte d'Ivoire.
  • Providing technical advisory support to the client's operations team in Ivory Coast Abidjan regarding fuel optimization, emissions compliance (MARPOL Annex VI), and machinery upgrades.
  • Training and mentoring junior engineering staff employed by the client at their Abidjan facilities.
  • Responding to emergency breakdowns and providing on-call technical support within a four-hour response window for all vessels berthed in the Port of Abidjan.

4. Payment Terms

Payment for the services outlined in this Quotation Estimate shall be made on a monthly basis in arrears. Invoices for the Marine Engineer's services will be issued on the 25th of each month for the preceding calendar month. Payment is due within fifteen (15) calendar days of invoice receipt via bank transfer to the account of Oceanic Marine Services & Consultancy Ltd. at Société Générale Côte d'Ivoire, Abidjan. A 10% advance payment is required upon contract signature to cover initial mobilization, work permit processing, and procurement of tools in Ivory Coast Abidjan.

5. Terms and Conditions
  1. This Quotation Estimate is valid for thirty (30) days from the date of issue. Beyond this period, all rates and availability of the Marine Engineer are subject to revision.
  2. The Marine Engineer shall be subject to the labor laws of the Republic of Côte d'Ivoire, including the Code du Travail and all applicable maritime regulations enforced by the Direction des Affaires Maritimes in Abidjan.
  3. Any additional services, overtime beyond 48 hours per week, or emergency call-outs outside the standard scope shall be billed separately at a rate of 150% of the standard hourly rate, as detailed in the supplementary schedule attached to the final contract.
  4. The client shall provide safe working conditions, access to all vessels and facilities, and all necessary documentation for the Marine Engineer to perform duties in Ivory Coast Abidjan.
  5. Either party may terminate the engagement with sixty (60) days' written notice. In the event of early termination, a pro-rata settlement of all costs incurred to date shall be made.
  6. All disputes arising from this Quotation Estimate or the subsequent contract shall be resolved through arbitration in Abidjan, Ivory Coast, in accordance with the rules of the Ivorian Chamber of Commerce and Industry.
  7. This Quotation Estimate does not constitute a binding contract until both parties have executed the formal Service Agreement. All terms herein are subject to final contractual negotiation.
  8. Exchange rates used in this Quotation Estimate are based on the BCEAO (Central Bank of West African States) reference rate as of 15 June 2025. Final invoicing shall be in XOF.
6. Acceptance and Authorization

By signing below, the client acknowledges receipt of this Quotation Estimate and agrees to the terms, conditions, and pricing outlined herein for the engagement of the Marine Engineer in Ivory Coast Abidjan. This acceptance shall serve as the basis for the preparation of the definitive Service Agreement.
