1. Executive Summary
This Quotation Estimate is issued by TransMarine Engineering Solutions (Pty) Ltd to provide a comprehensive, itemised cost breakdown for the engagement of a qualified Marine Engineer to deliver specialised technical services to Portside Logistics & Shipping (Pty) Ltd. All services described herein will be executed within the greater South Africa Johannesburg metropolitan area, in full compliance with the South African Maritime Safety Authority (SAMSA) regulations, the National Maritime Act (Act 10 of 1994), and all applicable Occupational Health and Safety Act (OHSA) requirements. This Quotation Estimate reflects our best and final pricing for the twelve-month service period commencing 1 August 2025.
2. Scope of Services — Marine Engineer Engagement
The Marine Engineer assigned to this contract will hold a valid Class 1 Marine Engineer's Certificate of Competency (MECO) issued by SAMSA, a minimum of ten (10) years of post-qualification experience in marine propulsion systems, auxiliary machinery, and hull integrity assessment, and current medical fitness certification. The Marine Engineer will be based in Johannesburg and will be available for on-call deployment to client-designated sites throughout the South Africa Johannesburg region, including the Johannesburg International Airport cargo handling facilities, the Dube TradeZone industrial precinct, and the client's primary warehouse and vessel-maintenance yard in Kempton Park.

4. Terms and Conditions of This Quotation Estimate
- This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Thereafter, pricing may be revised to reflect changes in the South African Rand exchange rate, fuel costs, or statutory fee adjustments applicable in South Africa Johannesburg.
- Payment terms: 50% of the monthly retainer (Item 3.1) is due within fourteen (14) days of the invoice date. All other line items are invoiced upon completion of the respective service. Late payments will attract interest at the rate of 1.5% per month as per the National Credit Act.
- The Marine Engineer shall remain an employee of TransMarine Engineering Solutions (Pty) Ltd for the duration of this contract. No direct employment relationship is created between the client and the Marine Engineer.
- All work performed will comply with SAMSA regulations, the Mine Health and Safety Act, and the Occupational Health and Safety Act (Act 85 of 1993) as applicable to the South Africa Johannesburg jurisdiction.
- TransMarine Engineering Solutions (Pty) Ltd shall maintain a minimum of R 10,000,000.00 in professional indemnity insurance and R 5,000,000.00 in public liability insurance for the duration of the contract.
- Either party may terminate this agreement with thirty (30) days' written notice. In the event of termination, the client shall be liable for all services rendered up to the effective date of termination.
- This Quotation Estimate does not constitute a binding contract until countersigned by both parties and a formal Service Level Agreement (SLA) is executed.
- All intellectual property, inspection reports, and technical documentation produced by the Marine Engineer during the course of this engagement shall become the property of the client upon full payment.
- Disputes arising from this Quotation Estimate or the resulting contract shall be resolved through arbitration in Johannesburg, South Africa, in accordance with the rules of the Arbitration Foundation of Southern Africa (AFSA).
5. Acceptance and Authorisation
By signing below, the client acknowledges receipt of this Quotation Estimate and agrees to the terms, conditions, and pricing outlined for the engagement of a Marine Engineer to provide services within the South Africa Johannesburg region.
