• 30% advance payment (EUR 64,069.50) upon written acceptance of this Quotation Estimate and execution of the service contract.
• 40% progress payment (EUR 85,426.00) upon completion of the vessel surveys, propulsion design review, and dry-dock feasibility report (Items 01–03).
• 30% final payment (EUR 64,069.50) upon successful completion of the ballast water installation supervision and delivery of the final project documentation.
• The monthly retainer for the dedicated Marine Engineer (Item 05) and associated travel costs (Item 06) shall be invoiced monthly in arrears on the last business day of each calendar month, commencing from the first day of the engagement.

1. This Quotation Estimate is valid for a period of ninety (90) days from the date of issue. Any acceptance beyond this period is subject to re-confirmation of pricing and availability of the Marine Engineer team.
2. All services shall be performed in strict accordance with the applicable legislation of the Kingdom of Spain, the regulations of the Comunidad de Madrid, and the relevant international maritime conventions as applicable to operations in Spain Madrid and its inland waterway network.
3. The Marine Engineer assigned to this project shall hold a valid Chartered Engineer (CEng) and Member of the Institution of Marine Engineers (MIMarE) designation, and shall carry professional indemnity insurance with a minimum cover of EUR 2,000,000 per claim.
4. The client shall provide reasonable access to all vessels, facilities, and documentation necessary for the execution of the works described herein. Delays caused by the client's failure to provide such access shall extend the project timeline on a day-for-day basis without additional cost to the contractor.
5. All intellectual property rights in the reports, designs, and technical documentation produced under this Quotation Estimate shall vest in the client upon full payment of the corresponding invoice.
6. Any variation to the scope of work must be agreed in writing by both parties prior to execution. Variations exceeding 10% of the total contract value shall be subject to a revised Quotation Estimate.
7. Disputes arising from this agreement shall be resolved by the competent courts of Madrid, Spain, in accordance with the Spanish Civil Procedure Law (Ley de Enjuiciamiento Civil).
8. This Quotation Estimate does not constitute a binding contract until a formal service agreement is executed by both parties.
