Payment for the services described in this Quotation Estimate shall be made as follows: 30% upon execution of the engagement agreement, 40% upon delivery of the technical report, and 30% upon completion of the knowledge transfer workshop and expiry of the 30-day warranty period. All invoices are payable within thirty (30) calendar days of the invoice date. Late payments shall accrue interest at the rate prescribed under the British Columbia Interest Act. Payments shall be made in Canadian Dollars via electronic funds transfer to the account designated by Pacific Northwest Mathematical Consulting Group Inc. in Canada Vancouver.
- This Quotation Estimate is valid for thirty (30) days from the date of issue. After the expiry date, the Mathematician reserves the right to revise rates and availability.
- The Mathematician shall maintain strict confidentiality of all proprietary data, algorithms, and business information provided by the client in Canada Vancouver. A separate Non-Disclosure Agreement (NDA) shall be executed prior to the commencement of work.
- All intellectual property generated specifically for the client under this engagement shall be assigned to North Shore Analytics Ltd. upon full payment. Pre-existing methodologies, templates, and frameworks of the Mathematician remain the property of Pacific Northwest Mathematical Consulting Group Inc.
- The Mathematician shall comply with all applicable Canadian federal and provincial regulations, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and the British Columbia Freedom of Information and Protection of Privacy Act (FIPPA).
- Force majeure events, including but not limited to natural disasters affecting the Canada Vancouver region, shall suspend obligations under this Quotation Estimate without penalty to either party.
- Disputes arising from this Quotation Estimate shall be resolved through mediation in Vancouver, British Columbia, Canada, and, if unresolved, through binding arbitration under the rules of the British Columbia Arbitration Institute.
- This Quotation Estimate constitutes the entire agreement between the parties regarding the Mathematician engagement described herein and supersedes all prior negotiations, representations, or understandings.
