This Quotation Estimate covers a twelve-month engagement period commencing 1 September 2025 and concluding 31 August 2026, unless otherwise extended by mutual written agreement.

The Mathematician engaged under this Quotation Estimate shall deliver the following core services:

• Development of partial differential equation (PDE) solvers for derivative pricing under stochastic volatility regimes.
• Statistical validation and back-testing of existing quantitative models against historical market data.

Payment for the services outlined in this Quotation Estimate shall be made via bank transfer (SEPA) to the account of Apex Mathematical Consulting GmbH, IBAN: DE89 3704 0044 0532 0130 00, BIC: COBADEFFXXX. Invoices will be issued monthly in arrears. Payment is due within 30 days of the invoice date in accordance with § 288 of the German Civil Code (BGB). Late payments shall accrue interest at the statutory rate of 8 percentage points above the ECB base rate for business-to-business transactions.

1. This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After the expiry date, all rates and availability are subject to re-confirmation in writing.
2. The Mathematician engaged under this Quotation Estimate shall comply with all applicable data-protection regulations, including the EU General Data Protection Regulation (GDPR) and the German Federal Data Protection Act (BDSG).
3. All intellectual property created specifically for the client during the engagement period shall vest in Nordwind Analytics AG upon full payment, unless otherwise stipulated in a separate IP assignment agreement.
4. Either party may terminate this engagement with a written notice period of sixty (60) days. In the event of early termination, all services rendered up to the termination date shall be invoiced in full.
5. This Quotation Estimate does not constitute a binding contract until countersigned by both parties. The definitive terms shall be governed by the Master Services Agreement (MSA) dated 01 March 2025 between the parties.
6. Disputes arising from this Quotation Estimate or the resulting engagement shall be subject to the exclusive jurisdiction of the courts of Berlin, Germany.
7. All communications regarding this Quotation Estimate shall be conducted in English, with official legal documents available in German upon request.

By signing below, the client acknowledges receipt of this Quotation Estimate and authorizes Apex Mathematical Consulting GmbH to proceed with the engagement of the Mathematician as described herein. This acceptance does not waive any rights under the governing Master Services Agreement.
