4. Payment Terms
All payments under this Quotation Estimate shall be made in Indian Rupees (INR) via NEFT/RTGS to the designated bank account of Apex Analytical Solutions Pvt. Ltd., India Bangalore. The payment schedule is structured as follows:
- Advance Payment (30%): ₹ 21,00,990 — due within 7 working days of mutual acceptance of this Quotation Estimate.
- Quarterly Milestone Payments (20% each): ₹ 14,00,660 per quarter — due within 15 working days of the end of each calendar quarter, subject to delivery of agreed milestones by the Mathematician.
- Final Settlement (10%): ₹ 7,00,330 — due within 15 working days of project completion and final acceptance of all deliverables.
5. Terms and Conditions
- This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. Beyond this period, rates and availability of the Mathematician are subject to revision.
- The Mathematician shall be bound by a strict Non-Disclosure Agreement (NDA) and Intellectual Property (IP) assignment clause. All mathematical models, algorithms, proofs, and publications developed during the engagement shall be the sole property of VedaTech Innovations Pvt. Ltd.
- Any change in scope, additional deliverables, or extension of the engagement period beyond twelve months shall require a written amendment to this Quotation Estimate, signed by both parties.
- The Mathematician shall adhere to the working hours and code of conduct of the client's office in Whitefield, India Bangalore. Remote work is permitted for a maximum of one day per week, subject to prior approval.
- Apex Analytical Solutions Pvt. Ltd. reserves the right to substitute the Mathematician with a candidate of equivalent or superior qualifications, provided the client's written consent is obtained within five working days.
- All disputes arising from this Quotation Estimate shall be governed by the laws of India and shall be subject to the exclusive jurisdiction of the competent courts in Bangalore, Karnataka, India.
- Taxes: The amounts quoted are exclusive of GST. Applicable GST at 18% (as per India Bangalore tax regulations) has been itemised separately. TDS, if applicable, shall be deducted by the client as per the Income Tax Act, 1961.
