- Late payments shall incur a surcharge of 1.5% per month on the outstanding balance.
- This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Beyond this period, rates may be revised to reflect market conditions in Japan Kyoto.
- The Mathematician shall maintain strict confidentiality regarding all proprietary data, algorithms, and research materials handled during the engagement.
- Any scope changes exceeding 15% of the originally estimated hours will require a revised Quotation Estimate in writing before additional work commences.
- The Mathematician reserves the right to decline tasks that fall outside the agreed-upon mathematical disciplines without penalty.
- All intellectual property generated specifically for the client during paid hours shall be transferred to the client upon final payment, unless otherwise agreed in a separate IP assignment agreement.
- This engagement is governed by the laws of Japan, and any disputes shall be resolved through arbitration in Kyoto, Japan.
- The Mathematician is engaged as an independent contractor and not as an employee of the client organization.
