This Quotation Estimate has been prepared by Apex Analytical Solutions Ltd. in response to the formal request for proposal issued by Northgate Industrial Systems plc. - All payments are due within thirty (30) days of invoice date. Invoices will be issued monthly in arrears, with a final settlement invoice upon project completion.
- The total value of this Quotation Estimate is fixed for the first twelve (12) months of the engagement. Thereafter, rates are subject to annual review in line with the Consumer Price Index (CPI) for the United Kingdom.
- Apex Analytical Solutions Ltd. shall maintain professional indemnity insurance of no less than £5,000,000 and employers' liability insurance of no less than £10,000,000 throughout the duration of the Mathematician engagement.
- All intellectual property developed specifically for Northgate Industrial Systems plc under this contract shall vest in the client upon full payment. General methodologies, templates, and pre-existing tools remain the property of Apex Analytical Solutions Ltd.
- Either party may terminate the engagement with fourteen (14) days' written notice. In such an event, the client shall be liable for all services rendered up to the termination date, as detailed in this Quotation Estimate.
- This engagement is governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of United Kingdom Manchester or, at the client's election, resolved by arbitration under the rules of the London Court of International Arbitration (LCIA).
- The Mathematician shall comply with all applicable data protection legislation, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018, and shall sign a non-disclosure agreement (NDA) prior to commencing work.
By signing below, the client confirms acceptance of this Quotation Estimate and authorises Apex Analytical Solutions Ltd. to commence the Mathematician engagement in United Kingdom Manchester on the agreed start date. This document, once countersigned by both parties, constitutes a binding commercial agreement.
