This Quotation Estimate is issued by TecnoIngegneria Roma S.r.l. to formally propose the engagement of a qualified Mechanical Engineer to deliver comprehensive design, analysis, and supervisory services for the client's industrial plant modernization project located in the metropolitan area of Italy Rome. 3.1 Validity. This Quotation Estimate shall remain valid for a period of thirty (30) calendar days from the date of issue. Beyond this period, all rates and availability of the assigned Mechanical Engineer are subject to reconfirmation in writing.
3.2 Payment Schedule. Payment shall be made in four (4) installments: 30% upon signing of the professional services contract; 30% upon completion of the design and simulation phase (Items 2 and 3); 30% upon completion of on-site supervision (Item 5); and the remaining 10% upon delivery and acceptance of the final Technical Report and Declaration of Conformity (Item 6). All payments are due within thirty (30) days of invoice date, in accordance with Italian commercial law (Codice Civile, Art. 1181 et seq.).
3.3 Revisions. Up to two (2) rounds of design revisions are included in the quoted price. Any additional revision cycles requested by the client beyond the agreed scope will be billed at the applicable daily rate of the Mechanical Engineer, as specified in the itemized table above.
3.4 Intellectual Property. All design documents, CAD files, simulation models, and technical reports produced under this engagement shall become the exclusive property of the client upon full payment. The Mechanical Engineer and TecnoIngegneria Roma S.r.l. retain the right to reference the project in professional portfolios and academic publications, subject to the client's prior written consent for any commercially sensitive data.
3.5 Regulatory Compliance. All services shall be performed in strict compliance with the Italian Legislative Decree 81/2008 (Testo Unico sulla Sicurezza sul Lavoro), the relevant provisions of the Codice dei Contratti Pubblici (D.Lgs. 36/2023) where applicable, and the professional code of ethics of the Ordine degli Ingegneri della Provincia di Roma.
3.6 Force Majeure. Neither party shall be liable for delays or non-performance resulting from events beyond reasonable control, including but not limited to natural disasters, pandemics, government-mandated shutdowns, or strikes affecting the Rome metropolitan area.
3.7 Dispute Resolution. Any dispute arising from or in connection with this Quotation Estimate or the subsequent contract shall be resolved amicably. Failing amicable resolution within sixty (60) days, the dispute shall be submitted to the competent courts of Rome, Italy, in accordance with Italian procedural law.
Note: This Quotation Estimate is a non-binding proposal for the purpose of budgetary planning and internal approval by the client. A binding professional services contract, drafted in accordance with Italian law and reviewed by both parties' legal counsel, must be executed before any work commences.
