The Mechanical Engineer engaged under this Quotation Estimate shall perform the following duties and deliverables:
- Mechanical System Design: Full conceptual and detailed design of pneumatic and hydraulic subsystems for the automated assembly line, including CAD modelling (SolidWorks / CATIA) and 3D assembly documentation compliant with JIS (Japanese Industrial Standards) specifications applicable in Japan Osaka.
- Thermal and Structural Analysis: Finite Element Analysis (FEA) and Computational Fluid Dynamics (CFD) simulations for heat exchangers, cooling towers, and structural support frames to ensure compliance with the Building Standards Act of Japan and local Osaka municipal regulations.

4.1 — 30% advance payment (JPY 3,326,400) upon written acceptance of this Quotation Estimate and execution of the Master Service Agreement.
4.2 — 40% progress payment (JPY 4,435,200) upon completion and client sign-off of the detailed Mechanical Engineer design package (Item 01).
4.3 — 30% final payment (JPY 3,326,400) upon successful commissioning, handover of all documentation, and issuance of the final Mechanical Engineer completion certificate at the Japan Osaka site.
4.4 — All payments shall be made via bank transfer to the account of Tanaka Engineering Solutions Co., Ltd., Osaka, Japan, within 30 calendar days of invoice date. Late payments shall accrue interest at 1.5% per month as permitted under the Japanese Late Payment of Compensation Act.
The Mechanical Engineer engagement is scheduled to commence on 1 August 2025 and conclude by 31 October 2025, subject to the client's readiness of the Japan Osaka site. The detailed Gantt chart and milestone schedule are attached as Appendix A to the Master Service Agreement. Any extension of the on-site supervision period beyond the 40 days specified in this Quotation Estimate shall be billed at the daily rate of JPY 85,000 per day, plus applicable Consumption Tax.
6.1 — This Quotation Estimate is valid for 30 calendar days from the date of issue. After the expiry date, all prices are subject to revision based on prevailing market conditions in Japan Osaka.
6.2 — The Mechanical Engineer shall maintain professional indemnity insurance with a minimum coverage of JPY 100,000,000, as required for engineering consultancy work in Japan Osaka.
6.3 — All intellectual property, including CAD files, FEA models, and design documentation produced by the Mechanical Engineer under this engagement, shall become the sole property of the client upon full payment.
6.4 — Disputes arising from this Quotation Estimate or the resulting contract shall be resolved through arbitration under the rules of the Japan Commercial Arbitration Association (JCAA), with the seat of arbitration in Osaka, Japan.
6.5 — This Quotation Estimate does not constitute a binding contract until both parties have executed the Master Service Agreement in duplicate.
