Payment for this Quotation Estimate shall be made in four milestones: 30% upon contract execution, 30% upon completion of all design deliverables, 30% upon successful commissioning of mechanical systems in Japan Tokyo, and 10% upon final handover and acceptance. All payments shall be made in Japanese Yen (JPY) via bank transfer to the account specified in the master service agreement. Late payments shall accrue interest at 1.5% per month as stipulated under Japanese commercial law.
- This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Beyond this period, pricing may be revised to reflect changes in material costs, labor rates, or regulatory requirements in Japan Tokyo.
- All Mechanical Engineer personnel assigned to this project shall hold valid Japanese work permits and possess the requisite professional qualifications recognized by the Japan Society of Mechanical Engineers (JSME).
- The client shall provide safe access to the project site in Odaiba, Tokyo, and shall coordinate with local Tokyo municipal authorities for any necessary construction permits or road closures.
- Any changes to the scope of work beyond the parameters described in this Quotation Estimate shall be subject to a formal change order and additional cost assessment.
- Confidentiality: All technical data, design documents, and proprietary information exchanged in connection with this Mechanical Engineer engagement in Japan Tokyo shall be treated as strictly confidential in accordance with the Japanese Act on the Protection of Personal Information and the parties' mutual NDA.
- Governing Law: This agreement and all disputes arising therefrom shall be governed by the laws of Japan, with exclusive jurisdiction vested in the Tokyo District Court.
