3.1 Validity: This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After the expiration date, pricing may be subject to revision based on current market conditions in the Houston, United States engineering services sector.
3.2 Payment Terms: Payment shall be made in accordance with the following schedule: 30% upon execution of the service agreement, 40% upon completion of design and documentation deliverables, 20% upon successful commissioning, and 10% upon final acceptance and closeout. All payments are due within thirty (30) days of invoice date. Late payments shall accrue interest at 1.5% per month.
3.3 Scope Limitations: This Quotation Estimate covers the services explicitly listed in Section 2. Any additional Mechanical Engineer services, change orders, or scope modifications requested by the client beyond the original scope shall be subject to a separate written amendment and additional charges at the rates specified herein.
3.4 Licensing and Compliance: All Mechanical Engineer services shall be performed by or under the direct supervision of a Professional Engineer (P.E.) licensed by the Texas Board of Professional Engineers, Land Surveyors, and Geologists. All deliverables shall comply with the International Mechanical Code (IMC), NFPA standards, and applicable Houston, Texas municipal regulations.
3.5 Travel and Expenses: Travel within the Houston, United States metropolitan area (including Harris, Fort Bend, Montgomery, and Brazoria counties) is included. Travel to project sites outside this region shall be billed at actual cost plus 15% administrative surcharge.
3.6 Intellectual Property: All design documents, calculations, and engineering deliverables produced under this Quotation Estimate shall become the property of the client upon full payment. The Mechanical Engineer retains the right to reference the project in professional portfolios and case studies with client written consent.
3.7 Limitation of Liability: Gulf Coast Mechanical Engineering LLC shall not be liable for consequential, incidental, or indirect damages arising from the performance of Mechanical Engineer services. Total liability under this agreement shall not exceed the total contract value stated in this Quotation Estimate.
3.8 Governing Law: This Quotation Estimate and any resulting service agreement shall be governed by and construed in accordance with the laws of the State of Texas, United States. Any disputes shall be resolved through binding arbitration in Houston, Texas, in accordance with the rules of the American Arbitration Association.
3.9 Insurance: The Mechanical Engineer service provider maintains professional liability insurance of not less than $2,000,000 per occurrence and $5,000,000 aggregate, as well as general liability and workers' compensation coverage as required by Texas state law.
