Terms and Conditions
- This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After the expiry date, pricing and availability of the Mechatronics Engineer team may be subject to revision.
- Payment terms: 30% deposit upon acceptance of this quotation, 40% upon completion of Week 7 milestone, and 30% upon final commissioning and acceptance in Canada Montreal.
- All invoices are payable within thirty (30) days of the invoice date. Late payments shall accrue interest at 1.5% per month as per Quebec commercial law.
- The Mechatronics Engineer personnel assigned to this project are fully insured under Canadian provincial liability and workers' compensation frameworks applicable in Quebec.
- Any changes to the scope of work must be documented in a formal Change Order signed by both parties before additional work commences. Revised costs will be reflected in a supplementary Quotation Estimate.
- Intellectual property developed specifically for Nova Automation Systems Ltd. under this engagement shall transfer to the client upon full payment. General methodologies, templates, and pre-existing tools remain the property of ProTech Mechatronics Solutions Inc.
- Warranty: A twelve-month warranty on all integrated systems and programming is provided from the date of final acceptance. This warranty covers defects in workmanship and software but excludes damage caused by misuse, unauthorized modifications, or force majeure events.
- This agreement is governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein. Any disputes shall be resolved through arbitration in Montreal, Canada, in accordance with the rules of the ADR Institute of Canada.
- ProTech Mechatronics Solutions Inc. reserves the right to substitute equivalent Mechatronics Engineer personnel of equal or greater qualification without prior notice, provided the client is informed within 48 hours.
Acceptance and Authorization
By signing below, the client acknowledges receipt of this Quotation Estimate and authorizes ProTech Mechatronics Solutions Inc. to commence the Mechatronics Engineer services as described herein at the project site in Canada Montreal.
