2. Scope of Work & Professional Services
This Quotation Estimate is issued by Osaka Precision Engineering Co., Ltd. in response to the formal request from Yamato Robotics Manufacturing K.K. for the engagement of a senior Mechatronics Engineer to support the Phase II automation upgrade of the client's production facility located in Japan Osaka. The scope encompasses the design, integration, commissioning, and ongoing technical oversight of mechatronic systems including programmable logic controllers (PLCs), industrial servo drives, robotic end-effectors, sensor arrays, and embedded control software. The Mechatronics Engineer will operate on-site in Japan Osaka for a duration of twelve (12) months, with the possibility of extension subject to mutual agreement. All deliverables shall comply with JIS (Japanese Industrial Standards) and IEC 61508 functional safety requirements applicable to the Japan Osaka manufacturing sector.

4. Payment Schedule
This Quotation Estimate shall be settled in four (4) equal quarterly installments of JPY 7,056,500 each, payable within thirty (30) days of invoice issuance. The first installment is due upon contract execution. All payments shall be made via bank transfer to the account designated by Osaka Precision Engineering Co., Ltd. Late payments shall incur a surcharge of 1.5% per month in accordance with Japanese commercial practice.
5. Terms & Conditions
- This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Beyond this period, pricing may be revised to reflect market conditions in the Japan Osaka engineering sector.
- The Mechatronics Engineer assigned to this project shall hold a minimum of ten (10) years of professional experience in industrial mechatronic systems and shall be fluent in both Japanese and English to facilitate seamless communication with the client's workforce in Japan Osaka.
- All intellectual property generated during the engagement, including control logic, HMI layouts, and diagnostic routines, shall vest in the client upon full payment. The Mechatronics Engineer shall sign a non-disclosure agreement (NDA) prior to commencing work.
- Working hours shall follow the standard Japanese business schedule (09:00–18:00, Monday through Friday). Overtime beyond 40 hours per week requires prior written approval and shall be billed at 1.5× the standard hourly rate.
- The client shall provide a dedicated workstation, secure access to the Japan Osaka facility, and all necessary safety equipment (PPE) in compliance with the Japanese Labour Safety and Health Act.
- Any change in scope exceeding 10% of the original estimate shall trigger a formal change-order process, and a revised Quotation Estimate shall be issued for approval before additional work commences.
- Disputes arising from this agreement shall be resolved through arbitration under the rules of the Japan Commercial Arbitration Association (JCAA) seated in Osaka.
- This Quotation Estimate does not constitute a binding contract until countersigned by both parties. The final service agreement shall be executed in duplicate, one copy retained by each party.
