1. Validity: This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After the expiration date, pricing and availability of the assigned Mechatronics Engineer are subject to reconfirmation.
2. Payment Schedule: 25% upon execution of the purchase order; 25% upon completion of design deliverables (Items 1–4); 25% upon successful commissioning (Item 6); 25% upon final acceptance and delivery of all documentation (Items 7–8). All payments due net 30 days from invoice date.
3. Jurisdiction & Governing Law: This Quotation Estimate and any resulting contract shall be governed by the laws of the State of California, United States. Any disputes shall be resolved through binding arbitration in Los Angeles, California, in accordance with the rules of the American Arbitration Association.
4. Intellectual Property: All designs, firmware, and documentation produced by the Mechatronics Engineer under this engagement shall become the sole property of the client upon full payment. Apex Mechatronics Solutions retains the right to reference the project in portfolio materials with client written consent.
5. Change Orders: Any scope modifications beyond the defined work shall be documented via a formal Change Order signed by both parties. The Mechatronics Engineer will provide a revised cost estimate within five (5) business days of the change request.
6. Insurance & Liability: Apex Mechatronics Solutions maintains General Liability insurance of $2,000,000 per occurrence and Professional Liability (E&O) insurance of $1,000,000. The client is responsible for site-specific safety compliance at the Los Angeles facility.
7. Taxes: All amounts are exclusive of applicable California state sales tax (7.25% for Los Angeles County) and any federal withholding. Taxes will be itemized separately on the final invoice.
8. Confidentiality: Both parties agree to maintain strict confidentiality of all proprietary information exchanged during the course of this project, in accordance with California Civil Code Section 1798.82.
Acceptance & AuthorizationBy signing below, the client acknowledges and accepts this Quotation Estimate for Mechatronics Engineer services to be performed in Los Angeles, United States, and authorizes Apex Mechatronics Solutions, Inc. to commence work upon receipt of the initial payment.
