1. This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After the expiration date, pricing may be subject to revision based on material costs, labor market conditions in the United States Miami region, and availability of the assigned Mechatronics Engineer.
2. All services shall be rendered by a certified Mechatronics Engineer holding a minimum of eight (8) years of professional experience in industrial automation, robotics, and embedded systems. The engineer shall comply with all applicable Florida state regulations and OSHA safety standards.
3. Payment terms: 30% advance deposit upon acceptance of this Quotation Estimate, 40% upon completion of design and development phases, and 30% upon final commissioning and client sign-off. All payments shall be made in US Dollars (USD) via wire transfer to the account designated by Apex Mechatronics Solutions LLC.
4. On-site work in the United States Miami area shall be conducted during standard business hours (Monday through Friday, 8:00 AM to 5:00 PM EST). Any after-hours or weekend work will be billed at 1.5x the standard hourly rate and requires prior written approval from the client.
5. The Mechatronics Engineer assigned to this project shall provide weekly progress reports every Friday by 5:00 PM EST. A dedicated project management portal will be made available to the client for real-time tracking of deliverables.
6. All intellectual property, design files, source code, and documentation produced under this engagement shall become the sole property of the client upon full payment. Apex Mechatronics Solutions LLC retains the right to reference the project in portfolio materials with client consent.
7. Warranty: A twelve (12) month warranty is included on all engineering deliverables. During this period, the Mechatronics Engineer shall address any defects or non-conformities at no additional cost, provided the system is operated in accordance with the supplied documentation.
8. This Quotation Estimate does not constitute a binding contract until both parties have executed the formal Service Agreement. The terms herein are subject to the final contractual document.
9. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters affecting the United States Miami region (hurricanes, flooding), government-mandated shutdowns, or supply chain disruptions.
10. Governing Law: This Quotation Estimate and any resulting agreement shall be governed by the laws of the State of Florida, United States. Any disputes shall be resolved through binding arbitration in Miami-Dade County, Florida.
