1. Scope of Services – Medical Researcher
This Quotation Estimate is issued by Biomedical Sciences Consulting S.A. to formally propose the engagement of a senior Medical Researcher to support the Instituto de Investigaciones Clínicas del Sur in the execution of a Phase III clinical trial focused on oncology biomarker validation. All services described herein shall be performed within the jurisdiction of Argentina, Buenos Aires, in full compliance with the Argentine National Administration of Medicaments, Foods and Medical Devices (ANMAT) regulations, the Buenos Aires Provincial Health Ministry guidelines, and the Declaration of Helsinki ethical standards.
The Medical Researcher engaged under this quotation shall hold a minimum of a Doctor of Medicine (M.D.) degree with a post-doctoral specialization in clinical oncology or molecular pathology, and a minimum of eight (8) years of documented experience in Phase II and Phase III clinical trials conducted in Argentina. The researcher shall be registered with the Colegio Médico de la Ciudad de Buenos Aires and shall maintain all necessary professional licenses valid for the duration of the engagement.

3. Terms and Conditions
- This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After the expiration date, all pricing, particularly the Argentine peso (ARS) denominations, shall be subject to revision based on the current exchange rate published by the Banco de la Nación Argentina.
- All services shall be rendered exclusively within the geographic boundaries of Argentina, Buenos Aires (Ciudad Autónoma de Buenos Aires and the surrounding Greater Buenos Aires metropolitan area, as specified in the protocol). Any travel outside this region shall be quoted separately.
- The Medical Researcher shall be engaged as an independent professional contractor and not as an employee of the client institution. Social security contributions (obra social) and income tax withholding (retención de Ganancias) shall be managed in accordance with Argentine labor and tax law (Ley 27.610 and applicable AFIP regulations).
- Payment terms: 30% advance upon contract signature, 40% upon completion of Month 6, and 30% upon final data lock and delivery of the concluding manuscript. All payments shall be made via bank transfer to an account held in Argentina, Buenos Aires, in Argentine pesos (ARS) or US dollars (USD) as mutually agreed.
- Confidentiality: The Medical Researcher shall be bound by a Non-Disclosure Agreement (NDA) compliant with Argentine Law 25.326 on Personal Data Protection and all institutional confidentiality policies of the client.
- Intellectual property generated during the course of this engagement shall be jointly owned by the client institution and the Medical Researcher, as stipulated in a separate IP agreement to be executed prior to commencement of services.
- Force majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to pandemics, government-mandated closures, or regulatory suspensions issued by ANMAT or the Buenos Aires health authorities.
- This Quotation Estimate does not constitute a binding contract until both parties have executed a formal service agreement in writing. All terms herein are subject to final negotiation and legal review by the parties' respective counsel in Buenos Aires, Argentina.
