The Medical Researcher engaged under this Quotation Estimate shall possess a minimum of a Doctorate (Ph.D.) in Molecular Biology, Biomedical Sciences, or a closely related discipline, with no fewer than eight (8) years of post-doctoral research experience. The Medical Researcher shall be based at our primary research facility located in the Zhongguancun Science Park, Haidian District, China Beijing, and shall dedicate a minimum of 90% of working hours to the project deliverables specified in the attached Statement of Work (SOW-2025-BJ-0417).

Key responsibilities of the Medical Researcher include, but are not limited to: designing and executing in-vitro and in-vivo experimental protocols; conducting statistical analysis and data interpretation; authoring peer-reviewed publications; preparing regulatory submissions in accordance with the National Medical Products Administration (NMPA) of China; supervising junior research staff; and attending quarterly progress review meetings with the client's project management team in China Beijing.

All payments referenced in this Quotation Estimate shall be made in Renminbi (CNY) via bank transfer to the designated account of Beijing Advanced Medical Research Institute Co., Ltd., located in China Beijing. The payment schedule is structured as follows:

• Advance Payment (30%): CNY 943,315.20 – Due within ten (10) business days of contract execution and written acceptance of this Quotation Estimate.
• Progress Payment (40%): CNY 1,257,753.60 – Due upon completion of Month 6 and submission of the interim research progress report by the Medical Researcher.
• Final Payment (30%): CNY 943,315.20 – Due upon project completion, final data delivery, and acceptance of all deliverables by the client within China Beijing.

1. This Quotation Estimate is valid for a period of ninety (90) calendar days from the date of issue. Beyond this period, all pricing is subject to revision based on prevailing market conditions in China Beijing.
2. The Medical Researcher and all support personnel shall comply with all applicable laws and regulations of the People's Republic of China, including but not limited to the Biosecurity Law of the PRC, the Human Genetic Resources Administration Regulations, and local ordinances of the Haidian District, China Beijing.
3. All intellectual property (IP) generated during the course of this engagement shall be jointly owned by both parties unless otherwise stipulated in a separate IP Assignment Agreement. The Medical Researcher shall not disclose proprietary data to third parties without written consent.
4. Any change in scope, duration, or deliverables must be documented in a formal Change Order signed by both parties. Adjustments to the Quotation Estimate will be issued as a supplementary schedule.
5. Force majeure events, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting China Beijing, shall suspend obligations without penalty for a period not exceeding sixty (60) days.
6. Disputes arising from this Quotation Estimate or the resulting contract shall be resolved through arbitration under the rules of the Beijing Arbitration Commission (BAC) in China Beijing. The governing law shall be the law of the People's Republic of China.
7. This Quotation Estimate does not constitute a binding contract until both parties execute the definitive Service Agreement. All terms herein are subject to final legal review.
