- Validity: This Quotation Estimate shall remain valid for a period of ninety (90) calendar days from the date of issue. Any acceptance beyond this period requires written reconfirmation of pricing.
- Payment Schedule: 30% advance payment upon contract execution; 40% upon completion of Month 12; 30% upon final delivery and acceptance of all research deliverables. All payments shall be made via bank transfer to the provider's designated account in Shanghai, China.
- Intellectual Property: All data, publications, and proprietary methodologies generated by the Medical Researcher during the engagement shall be jointly owned by the Client and Provider, as stipulated in the separate Intellectual Property Addendum.
- Compliance: The Medical Researcher and all supporting personnel shall comply with the Drug Administration Law of the People's Republic of China, the Human Genetic Resources Administration Regulations, and all applicable Shanghai municipal health and safety codes.
- Confidentiality: All patient data and unpublished research findings are subject to a mutual Non-Disclosure Agreement (NDA) with a survival period of five (5) years post-engagement.
- Termination: Either party may terminate the engagement with sixty (60) days' written notice. In the event of early termination, the Client shall be liable for all costs incurred up to the termination date plus a 10% administrative fee.
- Governing Law: This Quotation Estimate and any resulting contract shall be governed by the laws of the People's Republic of China. Disputes shall be resolved through arbitration at the Shanghai International Arbitration Center (SHIAC).
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to public health emergencies, government-mandated closures, or natural disasters affecting the China Shanghai region.
By signing below, the Client acknowledges receipt of this Quotation Estimate and agrees to the terms outlined herein. The Medical Researcher engagement shall commence no earlier than thirty (30) days following full receipt of the advance payment and completion of all regulatory filings with the Shanghai Municipal Health Commission.
