The Medical Researcher engaged under this Quotation Estimate will provide the following professional services within the Colombia Medellín metropolitan area and surrounding Antioquia department:

• Design and execution of clinical trial protocols in compliance with Colombian regulatory framework (Resolution 3165 of 2009 and GCP guidelines).
• Conduct of epidemiological field studies, data collection, and statistical analysis in collaboration with local hospitals including Hospital Universitario San Vicente de Paúl and Clínica Las Américas in Medellín.
• Preparation of scientific manuscripts, research reports, and regulatory submissions for the Colombian Institute of Medical Sciences (Instituto Nacional de Ciencias Médicas).
• Oversight of laboratory sample processing and quality assurance at accredited facilities in Colombia Medellín.
• Monthly progress reporting and quarterly presentations to the client's scientific advisory board.
• Mentorship and supervision of up to four (4) junior research assistants based in Medellín.

All amounts are quoted in Colombian Pesos (COP) and are inclusive of applicable IVA (19% value-added tax) as mandated by Colombian tax law. The USD equivalent is provided for reference only and is not a binding currency.

Payment for the services described in this Quotation Estimate shall be made in accordance with the following schedule, subject to the client's written acceptance of this document:

• 30% advance payment (COP 124,920,000) due within fifteen (15) business days of contract signature, prior to the Medical Researcher's onboarding in Colombia Medellín.
• Monthly installments of 6.25% (COP 26,025,000) payable on the 5th business day of each month, contingent upon submission of the monthly progress report by the Medical Researcher.
• Final 10% retention (COP 41,640,000) released upon completion of the 12-month engagement and delivery of all final research deliverables.

Payments shall be made via bank transfer to the provider's account at Banco de Bogotá, Medellín branch. Late payments shall accrue interest at the rate established by the Colombian Superintendencia Financiera.

1. This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After this period, all prices are subject to revision due to potential fluctuations in the Colombian peso exchange rate and local cost-of-living adjustments in Medellín.
2. The Medical Researcher named under this engagement shall be subject to a background check, professional license verification with the Colombian Medical Council (Consejo de Medicina), and a conflict-of-interest declaration prior to commencing work in Colombia Medellín.
3. All intellectual property generated by the Medical Researcher during the term of this engagement shall be jointly owned by the client and the provider, as stipulated in the separate Intellectual Property Agreement to be executed concurrently with the main contract.
4. The provider reserves the right to substitute the Medical Researcher with a qualified equivalent (MD, PhD, minimum 8 years of clinical research experience) with the client's prior written consent, should unforeseen circumstances arise.
5. This Quotation Estimate does not constitute a contract until countersigned by both parties. The definitive contract shall be governed by the civil and commercial laws of the Republic of Colombia, with jurisdiction vested in the courts of Medellín, Antioquia.
6. Confidentiality obligations shall survive the termination of this engagement for a period of five (5) years, in accordance with Colombia's Data Protection Law (Ley 1581 de 2012).
