This Quotation Estimate proposes a payment schedule structured as follows: 25% upon contract signature, 25% at the completion of Month 4, 25% at the completion of Month 8, and the remaining 25% upon delivery of the final research report and publication of the first peer-reviewed article. All payments are to be made via SEPA bank transfer to the account details provided in the accompanying invoice. Late payments are subject to a penalty of 1.5% per month in accordance with French commercial law (Article L441-10 du Code de commerce).
5.1 This Quotation Estimate is valid for a period of ninety (90) calendar days from the date of issue. Beyond this period, all rates and availability of the Medical Researcher are subject to re-evaluation.
5.2 The Medical Researcher shall comply with all applicable French research regulations, including those issued by ANS (Agence nationale de sécurité du médicament), HAS (Haute Autorité de Santé), and the local CPP Lyon ethics committee.
5.3 All data collected during the engagement in France Lyon shall be stored on servers physically located within the European Union, in strict compliance with the GDPR and French CNIL guidelines.
5.4 Intellectual property arising from the research shall be jointly owned by the client and the Medical Researcher, as detailed in the separate IP annex to be signed at contract execution.
5.5 Either party may terminate the engagement with sixty (60) days' written notice. In the event of early termination, the client shall be invoiced for all services rendered up to the termination date plus a 10% administrative closure fee.
5.6 This Quotation Estimate does not constitute a binding contract until both parties have executed the definitive service agreement. All terms herein are subject to the final contractual documentation.
By signing below, both parties acknowledge that this Quotation Estimate accurately reflects the agreed scope of work for the Medical Researcher engagement in France Lyon and that all financial figures have been reviewed and accepted.
