This document serves as a binding financial proposal and shall remain valid for a period of ninety (90) calendar days from the date of issuance, after which all rates and conditions herein may be subject to revision in accordance with prevailing market conditions in the Provence-Alpes-Côte d'Azur region.

The Medical Researcher engaged under this Quotation Estimate shall provide the following professional services in support of the client's research infrastructure in France Marseille:

• Design and execution of Phase I and Phase II clinical trial protocols in oncology and cardiovascular medicine.
• Supervision of a team of up to six (6) research assistants and laboratory technicians based at the Marseille campus.
• Conduct of systematic literature reviews, meta-analyses, and statistical modelling using validated methodologies.
• Preparation and submission of research grant applications to ANR (Agence Nationale de la Recherche) and European Horizon Europe funding bodies.
• Authorship and co-authorship of peer-reviewed publications in internationally recognised medical journals.
• Compliance oversight in accordance with French public health regulations (Code de la Santé Publique) and EU Clinical Trials Regulation (EU) 2014/536.
• Monthly progress reporting and quarterly strategic review meetings held at the client's premises in Marseille.

Payment shall be structured as follows: an initial deposit of twenty-five percent (25%) of the total Quotation Estimate value, amounting to €44,760.00 TTC, due within fifteen (15) business days of contract signature. The remaining balance shall be invoiced on a quarterly basis in arrears, with each invoice payable within thirty (30) days of receipt. All payments shall be made via bank transfer to the account of Provence Biomedical Consulting SARL, BNP Paribas, IBAN: FR76 3000 4000 0100 0000 0000 000, BIC: BNPAFRPPXXX. Late payments shall incur interest at the rate prescribed by Article L441-10 of the French Commercial Code.

This Quotation Estimate is non-binding until formally accepted in writing by the client. The Medical Researcher named under this engagement shall be subject to a background verification process in compliance with French data protection law (RGPD / GDPR). All intellectual property generated during the course of this engagement shall be jointly owned by the client and the Medical Researcher, with specific licensing terms to be defined in a separate IP agreement. The provider reserves the right to substitute the named Medical Researcher with a professional of equivalent or superior qualifications, subject to prior written consent of the client. Force majeure events, including but not limited to public health emergencies affecting the France Marseille region, shall suspend contractual obligations without penalty to either party. Disputes arising from this Quotation Estimate shall be resolved by the competent courts of Marseille, France, in accordance with French civil law.
