This Quotation Estimate is issued in response to the formal request submitted by the Charité Medical Research Institute, located in Germany Berlin, for the professional engagement of a qualified Medical Researcher to lead and coordinate advanced oncology and genomics research programmes. Payment for the services described in this Quotation Estimate shall be made in quarterly instalments, invoiced in advance at the beginning of each calendar quarter. The first invoice shall be issued within fourteen (14) calendar days of the formal acceptance of this Quotation Estimate by the client. All payments shall be transferred via SEPA bank transfer to the account designated by the service provider. Late payments shall incur interest at the rate of 8% per annum above the European Central Bank reference rate, in accordance with German commercial law (HGB § 288).
5.1 Validity: This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After this period, all costs and terms are subject to revision based on prevailing market conditions in Germany Berlin.
5.2 Confidentiality: All data, research findings, and proprietary information exchanged during the engagement of the Medical Researcher shall be treated as strictly confidential in accordance with the German Federal Data Protection Act (BDSG) and the EU General Data Protection Regulation (GDPR).
5.3 Intellectual Property: All intellectual property generated by the Medical Researcher during the course of this engagement shall be jointly owned by the client institute and the service provider, unless otherwise agreed in a separate IP assignment agreement.
5.4 Termination: Either party may terminate the engagement with a written notice period of ninety (90) days. In the event of early termination, the client shall be liable for all costs incurred up to the effective date of termination, as detailed in this Quotation Estimate.
5.5 Governing Law: This Quotation Estimate and the resulting contract shall be governed by and interpreted in accordance with the laws of the Federal Republic of Germany. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in Germany Berlin.
5.6 Force Majeure: Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including but not limited to natural disasters, pandemics, or government-imposed restrictions affecting research operations in Germany Berlin.
