The Medical Researcher engaged under this Quotation Estimate will be a board-certified physician with a minimum of ten years of post-doctoral experience in oncology and immunotherapy research. The researcher will be physically stationed at the Tel Aviv campus and will operate in full compliance with the Israeli Ministry of Health regulations, the Israel National Institute for Biotechnology and Drug Development (INBD) guidelines, and all applicable ethical review board (IRB) protocols specific to Israel Tel Aviv research institutions.
The primary responsibilities of the Medical Researcher include, but are not limited to: protocol design and amendment oversight, patient recruitment coordination, data collection and statistical analysis, adverse event monitoring and reporting, peer-reviewed publication drafting, and direct liaison with the Israeli regulatory authority (Israel Ministry of Health – Drugs Division). Payment for the services outlined in this Quotation Estimate shall be structured as follows: an initial deposit of 25% (ILS 455,090.50) due upon contract execution; quarterly progress payments of 20% each (ILS 364,072.40) due at the end of months 3, 6, 9, and 12; and a final settlement of 15% (ILS 273,054.30) due upon successful completion of the final research deliverable and submission of the closing report. All payments shall be made via bank transfer to the Tel Aviv Medical Research Institute's designated account at Bank Hapoalim, Tel Aviv branch. Late payments shall accrue interest at the rate prescribed by the Israeli Late Payment Law (5% per annum above the Bank of Israel base rate).
- This Quotation Estimate is valid for a period of sixty (60) calendar days from the date of issue. Beyond this period, pricing may be subject to revision based on market conditions in Israel Tel Aviv.
- The Medical Researcher shall maintain full professional liability insurance in accordance with Israeli medical practice regulations, with a minimum coverage of ILS 5,000,000 per claim.
- All research data generated under this engagement shall be the exclusive intellectual property of the client, subject to the publication rights of the Medical Researcher as defined in a separate IP agreement.
- The Medical Researcher is bound by the Israeli Confidentiality Law, 5749-1989, and all data shall be stored in compliance with the Israeli Privacy Protection Law, 5741-1981, and the EU GDPR where applicable to international collaborators.
- Either party may terminate this engagement with thirty (30) days' written notice. In the event of early termination, all costs incurred up to the termination date shall be invoiced in full.
- All services shall be performed in accordance with the Helsinki Declaration, the Israeli Ministry of Health clinical trial regulations, and the specific ethical guidelines of the Tel Aviv Regional Ethics Committee.
- This Quotation Estimate does not constitute a binding contract until both parties have executed a formal Service Agreement incorporating these terms.
- Disputes arising from this engagement shall be resolved through arbitration in Tel Aviv, Israel, in accordance with the rules of the Israel Arbitration Association, conducted in Hebrew or English at the parties' mutual agreement.
By signing below, the client acknowledges receipt of this Quotation Estimate and agrees to the terms, conditions, and pricing outlined herein for the engagement of the Medical Researcher in Israel Tel Aviv. This acceptance shall serve as the basis for the preparation of the definitive Service Agreement.
