This Quotation Estimate is issued in accordance with the Italian Civil Code (Codice Civile, Articles 1655–1677) and the regulatory framework governing medical research activities in the Lombardy region. The proposed engagement covers the full professional services of a Medical Researcher operating within the metropolitan area of Italy Milan, including but not limited to the following deliverables:
- Design and execution of clinical and translational research protocols in compliance with the Italian Medicines Agency (AIFA) guidelines and the European Clinical Trials Regulation (EU) No 536/2014.
- Supervision of a team of no more than six (6) junior researchers and laboratory technicians based at the Milan research facility.
- Conduct of systematic literature reviews, meta-analyses, and original data collection for at least three (3) peer-reviewed publications per annum.
- Participation in institutional ethics committee (Comitato Etico) reviews and submission of all necessary authorisations to the local ASL (Azienda Sanitaria Locale) of Milan.
- Collaboration with the University of Milan (Università degli Studi di Milano) and the Humanitas Research Hospital for joint research initiatives.
- Preparation of quarterly progress reports and an annual comprehensive research impact report for the client's governing board.

Payment shall be made in four (4) equal quarterly instalments of € 89,212.50 (inclusive of IVA), due within thirty (30) calendar days of each invoice date. Invoices shall be issued in accordance with the Italian electronic invoicing system (Fattura Elettronica) via the Sistema di Interscambio (SdI). Late payments shall accrue interest at the rate prescribed by Article 1284 of the Italian Civil Code.
- This Quotation Estimate is valid for a period of ninety (90) days from the date of issue. Upon expiry, all rates and conditions must be renegotiated in writing.
- The Medical Researcher shall comply with all applicable Italian data protection regulations, including the GDPR (Regulation (EU) 2016/679) and the Italian Data Protection Code (D.Lgs. 196/2003 as amended by D.Lgs. 101/2018), particularly with respect to patient data collected in Milan-area hospitals.
- All research activities shall be conducted in full compliance with the Italian Ministry of Health (Ministero della Salute) directives and the specific protocols approved by the local ethics committee in Milan.
- The client reserves the right to terminate this engagement with sixty (60) days' written notice. In such event, the Medical Researcher shall deliver all interim data, manuscripts, and laboratory records to the client within fifteen (15) days of termination.
- Intellectual property generated during the course of this engagement in Italy Milan shall be jointly owned by the client and the Medical Researcher, as further detailed in a separate Intellectual Property Addendum to be executed prior to commencement.
- Any disputes arising from this Quotation Estimate shall be subject to the exclusive jurisdiction of the courts of Milan, Italy, in accordance with Italian law.
- This document does not constitute a binding contract until countersigned by both parties and accompanied by the executed Service Level Agreement (SLA) and Data Processing Agreement (DPA).
