The Medical Researcher services described in this Quotation Estimate encompass the following professional activities to be performed in Spain Madrid and its metropolitan area:
- Design and implementation of clinical research protocols compliant with Spanish and EU regulatory frameworks (Royal Decree 1090/2015 and EU Clinical Trials Regulation 536/2014).

Payment for the services outlined in this Quotation Estimate shall be made in three (3) equal instalments via bank transfer to the account of MedResearch Iberia S.L. (IBAN: ES91 2100 0418 4502 0005 1332, BIC: CADEESMB). The first instalment of 40% is due upon contract signature. The second instalment of 35% is due at the midpoint of the project timeline. The final instalment of 25% is due upon delivery of the complete research dossier and final report. All payments are subject to the standard 30-day payment window under Spanish commercial law (Ley 3/2004 de lucha contra la morosidad).
5. Terms and Conditions- This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After this period, pricing may be revised to reflect changes in market conditions, regulatory requirements, or resource availability in Spain Madrid.
- All Medical Researcher personnel engaged under this agreement hold valid professional registration with the Ilustre Colegio Oficial de Médicos de Madrid (ICOMEM) and possess the requisite academic qualifications (PhD or equivalent) in their respective specialities.
- The client acknowledges that all research activities will be conducted in strict compliance with the Spanish Organic Law 4/2000 on the Protection of Personal Data, the GDPR (Regulation (EU) 2016/679), and the ethical guidelines of the Spanish National Research Ethics Committee (CNEI).
- Intellectual property generated during the course of the Medical Researcher engagement shall be jointly owned by both parties unless otherwise stipulated in a separate IP agreement. All data collected in Spain Madrid facilities shall be stored on servers physically located within the European Union.
- Either party may terminate this agreement with thirty (30) days written notice. In the event of early termination, the client shall be liable for all services rendered up to the date of termination plus a 10% administrative fee.
- This agreement is governed by the laws of the Kingdom of Spain. Any disputes arising from this Quotation Estimate or the subsequent contract shall be resolved by the competent courts of Madrid, Spain, with exclusive jurisdiction.
- Force majeure events, including but not limited to public health emergencies, natural disasters, or government-mandated restrictions affecting research operations in Spain Madrid, shall suspend obligations without penalty for a period not exceeding sixty (60) days.
- Confidentiality obligations survive the termination of this agreement for a period of five (5) years, in accordance with Spanish intellectual property and trade secret legislation (Ley 1/2019 de Secretos Empresariales).
