The Medical Researcher engaged under this Quotation Estimate will be responsible for the following activities, all conducted primarily at the client's facility in Thailand Bangkok and at approved satellite clinical sites across the Bangkok metropolitan region:

1. This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Any request for services beyond this validity period will require a revised Quotation Estimate reflecting current market rates in Thailand Bangkok.
2. The Medical Researcher assigned to this project shall hold a minimum of an MD degree with a PhD in Clinical Research or a related biomedical discipline, and must possess at least eight (8) years of post-doctoral research experience in human subjects studies conducted in Thailand.
3. All research activities will be conducted in strict adherence to the Thai Medical Research Act B.E. 2550 (2007), the NRCT guidelines, and the client's internal research ethics policies. The Medical Researcher is responsible for obtaining and maintaining all necessary permits and ethical clearances specific to the Thailand Bangkok jurisdiction.
4. Intellectual property (IP) arising from this engagement shall be jointly owned by both parties, as stipulated in the separate Research Collaboration Agreement to be executed concurrently with the acceptance of this Quotation Estimate.
5. Confidentiality: All participant data, proprietary methodologies, and unpublished findings are subject to a mutual Non-Disclosure Agreement (NDA). The Medical Researcher shall not disclose any client-specific information to third parties without prior written consent.
6. Force Majeure: Neither party shall be liable for delays or non-performance caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated lockdowns in Thailand Bangkok, pandemics, or regulatory changes issued by the Thai Ministry of Public Health.
7. Dispute Resolution: Any disputes arising from this Quotation Estimate or the subsequent service agreement shall be resolved through mediation in Bangkok, Thailand, in accordance with the rules of the Thai Arbitration Institute. If mediation fails, the matter shall be referred to the competent courts of Bangkok.
8. Termination: Either party may terminate the engagement with thirty (30) days' written notice. In the event of early termination, the client shall pay for all services rendered up to the termination date, plus a 10% administrative fee on the remaining contracted value.
