This document outlines the scope of services, associated costs, deliverables, and contractual terms governing the proposed engagement. The proposed Medical Researcher will be a board-certified specialist with a minimum of eight (8) years of post-doctoral experience in clinical pharmacology, epidemiology, or biomedical sciences. The scope of work includes, but is not limited to, the following activities conducted within the United Arab Emirates Abu Dhabi jurisdiction:

• Design and execution of Phase I and Phase II clinical trial protocols in compliance with the UAE Federal Law No. 2 of 2017 on Human Rights and the Abu Dhabi DoH Research Ethics Committee (REC) guidelines.
• Conducting systematic literature reviews, meta-analyses, and biostatistical modelling for published and unpublished research datasets.
• Supervising junior research assistants and laboratory technicians at the designated research facility in Al Reem Island, Abu Dhabi.
• Preparing and submitting research manuscripts to peer-reviewed journals indexed in PubMed, Scopus, and Web of Science.
• Coordinating with the Abu Dhabi Clinical Trials Registry and ensuring all data collection adheres to the UAE Data Protection Law (Federal Decree-Law No. 45 of 2021).
• Attending quarterly research governance meetings hosted by the Abu Dhabi Health Authority and presenting interim findings to institutional review boards.
• Maintaining Good Clinical Practice (GCP) documentation and ensuring full traceability of all research artefacts stored in the Abu Dhabi facility.

Payment for this Quotation Estimate shall be structured as follows: 30% advance payment upon contract execution, 40% upon completion of the six-month milestone, and the remaining 30% upon final project delivery and acceptance. All payments shall be made via bank transfer to the designated account of MedResearch Gulf FZ-LLC, United Arab Emirates Abu Dhabi. Late payments shall attract a penalty of 1.5% per month in accordance with UAE commercial law.

• This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Beyond this period, pricing may be revised to reflect market conditions in the United Arab Emirates Abu Dhabi healthcare sector.
• The Medical Researcher shall comply with all applicable UAE federal and Abu Dhabi emirate-level regulations, including but not limited to the Abu Dhabi DoH Practising Regulations and the UAE Ministry of Health and Prevention (MOHAP) research guidelines.
• All intellectual property generated during the engagement shall be jointly owned by MedResearch Gulf FZ-LLC and Tawjeeh Medical Research Institute, as stipulated in a separate IP Addendum.
• Confidentiality obligations shall survive termination of the contract for a period of five (5) years, in line with UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data.
• Either party may terminate the agreement with sixty (60) days written notice. In the event of early termination, pro-rata charges for services rendered up to the termination date shall apply.
• Disputes arising from this Quotation Estimate shall be resolved through arbitration in Abu Dhabi under the rules of the Abu Dhabi Global Market (ADGM) Financial Disputes Centre.
