Payment for this Quotation Estimate shall be made in quarterly instalments of £30,150.00 (inclusive of VAT), due within thirty (30) calendar days of the invoice date. The first instalment is due upon contract execution. All payments shall be made by BACS transfer to the bank account details provided on the invoice. Late payments will attract interest at a rate of 4% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
4. Terms and Conditions- This Quotation Estimate is valid for thirty (30) days from the date of issue. After this period, pricing may be subject to revision due to market fluctuations, exchange rate changes, or adjustments to the scope of the Medical Researcher engagement.
- All services described herein shall be delivered in strict compliance with UK research ethics standards, the Medical Research Council (MRC) guidelines, and the regulations of the Health and Care Research Centre (HRC) in Birmingham.
- The Medical Researcher shall be subject to a DBS (Disclosure and Barring Service) check, right-to-work verification, and a professional references check prior to commencing duties in United Kingdom Birmingham.
- Intellectual property generated during the course of this engagement shall be jointly owned by MedSci Research Solutions Ltd. and the client, as detailed in a separate Intellectual Property Agreement to be executed concurrently with the main contract.
- Either party may terminate this agreement with ninety (90) days' written notice. In the event of early termination, the client shall be liable for all costs incurred up to the termination date, plus a 10% administrative fee on the remaining contract value.
- All personal data processed under this engagement shall be handled in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. A Data Processing Agreement (DPA) shall be executed prior to any data transfer.
- This Quotation Estimate does not constitute a binding contract until both parties have executed the formal Service Agreement. Acceptance of this quotation shall be confirmed in writing by the client within the validity period.
- Any disputes arising from this engagement shall be resolved through mediation in Birmingham, United Kingdom, in accordance with the rules of the Centre for Effective Dispute Resolution (CEDR). Failing mediation, disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
- Force majeure events, including but not limited to pandemics, government-imposed restrictions, or natural disasters affecting the Birmingham area, shall relieve the affected party from performance obligations for the duration of the event, provided written notice is given within five (5) business days.
