3.1 Validity: This Quotation Estimate is valid for thirty (30) calendar days from the date of issuance. After the expiration date, all rates and availability must be reconfirmed in writing by Texas Biomedical Research Associates, LLC.
3.2 Payment Schedule: Invoicing will be conducted on a monthly basis, due within thirty (30) days of invoice receipt. A 1.5% late payment surcharge will apply to balances outstanding beyond the due date. An initial mobilization payment of 15% of the total Quotation Estimate value is required upon contract execution.
3.3 Scope Changes: Any modification to the scope of the Medical Researcher's duties, additional clinical sites, or extended project duration beyond the 18-month term will require a formal Change Order signed by both parties. Revised costs will be itemized in a supplemental Quotation Estimate.
3.4 Confidentiality & IP: All data, findings, and intellectual property generated by the Medical Researcher during the engagement in United States Houston shall remain the exclusive property of Houston Methodist Research Institute. The Medical Researcher is bound by a Non-Disclosure Agreement (NDA) and the NIH data-sharing policies applicable to the funded grant.
3.5 Termination: Either party may terminate the engagement with sixty (60) days' written notice. In the event of early termination, all costs incurred up to the termination date, plus a 10% wind-down fee, shall be invoiced and settled within 45 days.
3.6 Governing Law: This Quotation Estimate and any resulting contract shall be governed by the laws of the State of Texas, United States. Disputes shall be resolved through binding arbitration in Houston, Texas, in accordance with the rules of the American Arbitration Association.
3.7 Insurance: The Medical Researcher shall maintain professional liability insurance with a minimum coverage of $2,000,000 per occurrence, naming Houston Methodist Research Institute as an additional insured party.

This document, once countersigned, shall serve as the basis for the formal Service Agreement between Texas Biomedical Research Associates, LLC and Houston Methodist Research Institute for the engagement of the Medical Researcher in United States Houston.
