1. This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Any request for a revised quotation after the expiry date will be subject to re-evaluation of current market rates in Ho Chi Minh City.
2. All costs are quoted in United States Dollars (USD) unless otherwise stated. Payment in Vietnamese Dong (VND) is acceptable at the exchange rate prevailing on the date of invoice issuance.
3. The Medical Researcher shall be engaged under a fixed-term employment contract governed by the Labour Code of the Socialist Republic of Vietnam. All statutory employer obligations, including social insurance, health insurance, and unemployment insurance contributions, are included in this estimate.
4. The Client acknowledges that the Medical Researcher will be physically based in Vietnam Ho Chi Minh City for the entire contract duration. Any temporary travel outside Ho Chi Minh City for conferences or fieldwork (up to 15 days per year) is included; additional travel will be billed separately.
5. Intellectual property (IP) generated by the Medical Researcher during the course of this engagement shall be jointly owned by the Client and the Service Provider, as detailed in a separate IP Assignment Agreement to be executed prior to commencement.
6. Either party may terminate the engagement with sixty (60) days' written notice. In the event of early termination, the Client shall be liable for all costs incurred up to the termination date plus a 10% administrative penalty.
7. This Quotation Estimate does not constitute a binding contract. A formal service agreement must be executed by both parties before any work commences.
8. All personal data processed in connection with this engagement shall comply with the Vietnam Personal Data Protection Decree (Decree 13/2023/ND-CP) and applicable data transfer regulations.
9. Disputes arising from this Quotation Estimate or the subsequent contract shall be resolved through arbitration in Ho Chi Minh City under the rules of the Vietnam International Arbitration Centre (VIAC).
