1. SCOPE OF SERVICES — MILITARY OFFICER ENGAGEMENT

This Quotation Estimate is issued by Strategic Security & Advisory Group S.A.S. in response to the formal request submitted by Grupo Empresarial Andino S.A.S. for the professional engagement of a Military Officer to provide executive security, risk assessment, and operational advisory services within the metropolitan area of Colombia, Bogotá. The services described herein are designed to meet the specific operational requirements of the client's corporate facilities, executive personnel, and logistics operations situated in the cities of Bogotá D.C. and its surrounding departments.

The Military Officer proposed for this engagement holds a minimum of fifteen (15) years of active and reserve service with the Colombian Armed Forces (Fuerzas Militares de Colombia), including specialized training in counter-terrorism, executive protection, crisis management, and tactical operations. The officer has completed advanced certifications from the Escuela Superior de Guerra (ESG) and the Escuela de Inteligencia Militar (EIM), and possesses a valid security clearance issued by the National Police of Colombia. All professional credentials, service records, and legal authorizations required for the Military Officer to operate within the jurisdiction of Bogotá D.C. are verified and attached as Annex A to this Quotation Estimate.

3. TERMS AND CONDITIONS

This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. Any request for services beyond this validity period will require a revised Quotation Estimate reflecting current market rates and availability of the Military Officer.
All prices quoted in this document are in Colombian Pesos (COP) and are subject to the applicable Value Added Tax (IVA) of 19% as established by the National Tax and Customs Directorate (DIAN) of Colombia. The USD equivalent is provided for reference only and is based on the exchange rate prevailing on the date of issue.
The Military Officer engaged under this contract shall operate in strict compliance with Colombian national law, including but not limited to the regulations governing private security services issued by the Ministry of National Defense of Colombia and the applicable decrees for the city of Bogotá D.C.
Payment terms: 40% advance payment upon contract execution, 30% upon completion of the initial risk assessment and SOP delivery, and 30% upon successful completion of the 12-month service period. All payments shall be made via bank transfer to the account designated by Strategic Security & Advisory Group S.A.S. in Bogotá, Colombia.
The client acknowledges that the Military Officer is engaged as an independent professional consultant and not as an employee of the client. All labor, social security (Pensión, Salud, ARL), and tax obligations related to the officer's engagement are the responsibility of Strategic Security & Advisory Group S.A.S.
Confidentiality: All information, documents, and operational details exchanged in connection with this Quotation Estimate and the subsequent contract are subject to a mutual Non-Disclosure Agreement (NDA) in accordance with Colombian data protection law (Ley 1581 de 2012).
Termination: Either party may terminate the engagement with a written notice of sixty (60) days. In the event of early termination, the client shall be liable for all services rendered up to the termination date plus a 10% administrative fee.
This Quotation Estimate does not constitute a binding contract until formally accepted in writing by both parties and converted into a definitive service agreement governed by the commercial law of the Republic of Colombia.
All disputes arising from this engagement shall be resolved through arbitration in Bogotá D.C., Colombia, in accordance with the rules of the Chamber of Commerce of Bogotá.

4. ACCEPTANCE AND AUTHORIZATION

By signing below, the client acknowledges receipt of this Quotation Estimate and authorizes Strategic Security & Advisory Group S.A.S. to proceed with the engagement of the specified Military Officer for the services described herein, to be performed in Colombia, Bogotá, under the terms and conditions set forth in this document.
