3.1 Validity: This Quotation Estimate shall remain valid for a period of ninety (90) calendar days from the date of issue. Beyond this period, all pricing is subject to revision based on prevailing market conditions, exchange rate fluctuations, and any changes in Italian regulatory requirements affecting Military Officer service engagements.
3.2 Payment Terms: Payment shall be structured as follows: 30% advance payment upon contract execution, 40% upon completion of the first six-month milestone, and 30% upon final delivery and acceptance of all deliverables. All payments shall be made via bank transfer to the provider's designated account in Rome, Italy. Late payments shall incur interest at the rate of 1.5% per month as stipulated under Italian commercial law (Codice Civile, Art. 1284).
3.3 Scope Limitations: The services outlined in this Quotation Estimate are strictly limited to advisory, training, planning, and coordination functions. The Military Officer engaged under this contract shall not exercise operational command authority over any armed force or security unit. All activities shall be conducted in full compliance with the laws of the Italian Republic, including but not limited to the Italian Penal Code, the Law on National Defence (Legge 226/2004), and applicable data protection regulations (GDPR / D.Lgs. 196/2003).
3.4 Confidentiality & Security Clearance: All personnel assigned to this engagement in Rome shall hold a minimum security clearance equivalent to "NATO Secret" or the Italian equivalent "Riservato." All documents, reports, and communications generated under this contract are classified as "Restricted – Official Use Only" and shall be handled in accordance with Italian intelligence community protocols. The client agrees to maintain equivalent security handling for all materials received.
3.5 Cancellation & Termination: Either party may terminate this engagement with a written notice of sixty (60) days. In the event of early termination, the client shall be liable for all services rendered up to the termination date plus a cancellation fee of 15% of the remaining contract value. Force majeure events, including but not limited to natural disasters, civil unrest in the Rome area, or government-mandated suspensions, shall exempt both parties from performance obligations without penalty.
3.6 Governing Law & Jurisdiction: This Quotation Estimate and any resulting contract shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising herefrom shall be resolved by the competent courts of Rome, Italy, or by arbitration under the rules of the Italian Chamber of Commerce in Rome, at the election of the aggrieved party.
3.7 Intellectual Property: All methodologies, training materials, and proprietary frameworks developed by the provider for this engagement in Rome shall remain the intellectual property of Roma Strategica Defence Consulting S.r.l. The client is granted a non-exclusive, non-transferable licence to use such materials solely for the purpose of this engagement.
By signing below, the client acknowledges receipt of this Quotation Estimate and agrees to the terms, conditions, and pricing outlined herein. This signature constitutes a binding acceptance of the proposed Military Officer services to be delivered in Italy, Rome, for the duration specified.
