Payment for the services outlined in this Quotation Estimate shall be made in United States Dollars (USD) via wire transfer to the designated bank account of Central Asia Defense & Security Solutions LLP. The payment schedule is structured as follows: an initial deposit of twenty-five percent (25%) of the total contract value is due upon execution of the service agreement; subsequent monthly invoices for the Military Officer retainer and associated operational costs shall be issued on the first business day of each month and are payable within fifteen (15) calendar days of invoice receipt. One-time service fees (Items 02, 03, 05, 06, and 08) shall be invoiced upon completion of the respective deliverable. All payments are subject to the applicable value-added tax (VAT) rates in the Republic of Kazakhstan, which shall be itemized separately on each invoice.
- This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Beyond this period, all pricing and availability of the specified Military Officer are subject to re-evaluation and potential revision.
- The Military Officer shall operate in strict compliance with the laws of the Republic of Kazakhstan, including but not limited to the Law on Private Security Activities, the Law on Foreign Nationals, and all applicable regulations of the Kazakhstan Almaty municipal authority.
- Central Asia Defense & Security Solutions LLP reserves the right to substitute the assigned Military Officer with a candidate of equivalent or superior qualifications, subject to prior written approval by the client.
- All information, documents, and operational plans generated under this engagement are classified as proprietary and confidential. The Military Officer shall execute a non-disclosure agreement (NDA) prior to commencing duties in Kazakhstan Almaty.
- Either party may terminate the service agreement with thirty (30) days written notice. In the event of early termination, the client shall be liable for all services rendered up to the termination date plus a cancellation fee of ten percent (10%) of the remaining contract value.
- This Quotation Estimate does not constitute a binding contract until a formal service agreement is executed by authorized representatives of both parties.
- Force majeure events, including but not limited to seismic activity, political instability, or government-imposed restrictions in Kazakhstan Almaty, shall suspend obligations under this agreement without penalty to either party.
- All disputes arising from this engagement shall be resolved through arbitration in Almaty, Kazakhstan, in accordance with the rules of the International Arbitration Center of the Astana International Financial Centre.
