1. A non-refundable deposit of twenty-five percent (25%) of the total Quotation Estimate value, amounting to KES 2,385,250, shall be payable upon acceptance of this document to confirm the engagement of the Military Officer.
2. The remaining balance shall be invoiced on a monthly basis in advance, with payment due within fourteen (14) calendar days of invoice issuance. Invoices shall be issued from our Kenya Nairobi office.
3. All payments shall be made via bank transfer to Kestrel Security & Defence Consultancy Ltd., Equity Bank, Nairobi Branch, Account No. 0012345678901. Cheques payable to "Kestrel Security & Defence Consultancy Ltd."
4. Late payments shall attract a penalty of two percent (2%) per month on the outstanding balance, in accordance with Kenyan commercial law.
1. This Quotation Estimate is valid for thirty (30) days from the date of issue. Beyond this period, pricing may be revised to reflect changes in operational costs, exchange rates, or regulatory requirements in Kenya Nairobi.
2. The Military Officer engaged under this contract shall operate in strict compliance with the Private Security Industry Regulatory Authority (PSIRA) Act, the Kenya Defence Forces Act, and all applicable laws of the Republic of Kenya. The officer shall carry valid PSIRA certification and a current National ID.
3. The client acknowledges that the Military Officer is engaged as a professional security consultant and not as a member of the Kenya Defence Forces. All operational authority is limited to the scope defined in this Quotation Estimate and the accompanying Service Level Agreement (SLA).
4. Kestrel Security & Defence Consultancy Ltd. shall maintain full professional indemnity insurance and public liability insurance covering all operations conducted within Kenya Nairobi and its environs.
5. Either party may terminate this engagement with thirty (30) days written notice. In the event of termination by the client without cause, the remaining monthly fees for the notice period shall be payable.
6. All information, intelligence reports, and security plans generated during the engagement in Kenya Nairobi shall remain the confidential property of the client. The Military Officer and all supporting personnel shall be bound by a Non-Disclosure Agreement (NDA).
7. This Quotation Estimate does not constitute a binding contract until countersigned by both parties. The formal Service Agreement shall be executed within seven (7) days of acceptance.
8. Disputes arising from this engagement shall be resolved through arbitration in Kenya Nairobi in accordance with the Arbitration Act, 1995 of Kenya.
