The Military Officer engaged under this Quotation Estimate shall possess a minimum of fifteen (15) years of active-duty or reserve service in the United States Armed Forces, with a rank no lower than Lieutenant Colonel (O-5) or equivalent. The officer shall hold a valid Texas security license, a current Department of Defense security clearance (Secret or above), and demonstrated experience in corporate security operations, threat assessment, and crisis management. The services are to be performed primarily at the client's facilities located in the United States Houston area, with occasional travel to secondary sites in the greater Houston metropolitan region including Katy, Sugar Land, and The Woodlands.

Payment for the services outlined in this Quotation Estimate shall be structured as follows: a non-refundable mobilization fee of twenty percent (20%) of the total contract value, amounting to $57,372.50, is due upon execution of the service agreement. The remaining balance shall be invoiced on a monthly basis in arrears, with payment due within thirty (30) calendar days of invoice receipt. All payments shall be made via wire transfer to the designated account of Meridian Defense & Security Consulting Group, LLC, a registered entity in the State of Texas, United States. Late payments shall accrue interest at a rate of 1.5% per month or the maximum rate permitted by Texas law, whichever is lower.
5.1 This Quotation Estimate is valid for thirty (30) days from the date of issue. After the expiration date, all rates and availability of the designated Military Officer are subject to re-evaluation and potential adjustment.
5.2 The Military Officer assigned to this engagement shall operate in strict compliance with all federal, Texas state, and Houston municipal laws and regulations governing private security operations, armed and unarmed personnel, and corporate security services.
5.3 Meridian Defense & Security Consulting Group, LLC shall maintain comprehensive general liability insurance of no less than $5,000,000 per occurrence and professional liability (errors and omissions) coverage of $2,000,000 for the duration of the engagement in United States Houston.
5.4 The client reserves the right to request a replacement of the assigned Military Officer with reasonable cause. Any replacement shall be of equivalent or superior rank, experience, and clearance level, and shall be subject to the same terms outlined in this Quotation Estimate.
5.5 All information, documents, and operational plans developed during the course of this engagement shall be treated as strictly confidential and proprietary to Gulf Coast Industrial Partners, Inc. The Military Officer and all supporting personnel shall execute non-disclosure agreements prior to commencing work in the United States Houston area.
5.6 This engagement shall be governed by and construed in accordance with the laws of the State of Texas, United States. Any disputes arising from this Quotation Estimate or the resulting service agreement shall be resolved through binding arbitration in Harris County, Houston, Texas, in accordance with the rules of the American Arbitration Association.
5.7 Force majeure events, including but not limited to natural disasters common to the Houston, Texas region (hurricanes, flooding, severe storms), shall temporarily suspend obligations under this agreement without penalty to either party, provided written notice is given within forty-eight (48) hours of the event.
By signing below, the client acknowledges receipt of this Quotation Estimate, confirms understanding of all terms and conditions, and authorizes Meridian Defense & Security Consulting Group, LLC to proceed with the engagement of the designated Military Officer for services to be rendered in United States Houston, Texas.
