3.1 Validity: This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. After this period, the Musician's availability and the pricing outlined herein may be subject to revision due to scheduling conflicts, market adjustments, or changes in operational costs within the city of São Paulo.
3.2 Payment Terms: A non-refundable deposit of fifty percent (50%) of the total Quotation Estimate amount (R$ 10,185.00) is required to confirm the Musician's booking. The remaining fifty percent (50%) (R$ 10,185.00) shall be settled within five (5) business days following the completion of the event. Payment shall be made via bank transfer (TED/PIX) to the account of Synthetica Music Productions Ltda., Banco do Brasil, Ag. 1234-5, Conta: 67890-1, CNPJ: 12.345.678/0001-90.
3.3 Cancellation Policy: Cancellations made more than thirty (30) days prior to the event date in São Paulo will be subject to a 20% administrative fee. Cancellations between fifteen (15) and thirty (30) days will incur a 50% fee. Cancellations made less than fifteen (15) days before the event will result in the forfeiture of the full deposit. This policy protects the Musician and the ensemble from last-minute scheduling disruptions.
3.4 Performance Hours: The Musician's performance is scheduled for four (4) hours, from 19:00 to 23:00 BRT (Brasília Time). Any additional performance time beyond the agreed duration will be billed at a rate of R$ 1,200.00 per additional hour for the lead Musician and R$ 600.00 per hour for each supporting Musician.
3.5 Venue Requirements: The client agrees to provide a suitable stage area (minimum 6m x 4m) with adequate power supply (220V, 3-phase) at the venue in São Paulo. The Musician's team will arrive at least two (2) hours before the performance for setup and sound check.
3.6 Intellectual Property: All custom musical arrangements and compositions created specifically for this event remain the intellectual property of the Musician and Synthetica Music Productions Ltda. The client receives a non-exclusive license to use audio recordings of the performance for internal corporate purposes only.
3.7 Applicable Law: This Quotation Estimate and any resulting contract shall be governed by the laws of the Federative Republic of Brazil, with jurisdiction vested in the courts of the city of São Paulo, State of São Paulo.
3.8 Force Majeure: Neither party shall be held liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the city of São Paulo or the state of São Paulo.
