3.1 Validity: This Quotation Estimate shall remain valid for a period of thirty (30) calendar days from the date of issue. Beyond this period, pricing may be subject to revision based on prevailing labor market conditions in Guangzhou, China, and changes in statutory social insurance contribution rates.
3.2 Payment Terms: A deposit of 30% of the total contract value (CNY 304,740) is due upon acceptance of this Quotation Estimate. The remaining 70% shall be invoiced monthly in arrears, payable within fifteen (15) business days of invoice receipt via bank transfer to the account designated by Guangzhou International Healthcare Staffing Co., Ltd.
3.3 Nurse Obligations: Each Nurse placed under this agreement shall adhere to the code of professional conduct established by the Chinese Nursing Association and the specific policies of Yuehai Medical Center. The Nurse shall work a standard schedule of 24 hours per shift with a minimum of 48 hours of rest between consecutive shifts, in compliance with the Labor Law of the People's Republic of China.
3.4 Termination: Either party may terminate this agreement with a written notice of sixty (60) days. In the event of early termination by the client without cause, a pro-rata fee for the remaining contract period shall be payable. Termination for cause (e.g., gross professional misconduct by a Nurse) shall be effective immediately upon written notification.
3.5 Confidentiality: All patient records, facility operational data, and proprietary information encountered by the Nurse team during service delivery in China Guangzhou shall be treated as strictly confidential in accordance with the Personal Information Protection Law of the People's Republic of China (effective 1 November 2021).
3.6 Governing Law: This Quotation Estimate and any resulting contract shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes shall be resolved through arbitration at the Guangzhou Arbitration Commission in accordance with its then-current rules.
3.7 Insurance: The Nurse personnel shall be covered under a comprehensive professional liability insurance policy with a minimum coverage of CNY 2,000,000 per incident, maintained by the staffing company throughout the contract term.
