3.1 Validity: This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Beyond this period, all rates and availability of Nurse personnel are subject to revision based on prevailing market conditions in Tanzania Dar es Salaam.
3.2 Payment Terms: Payment shall be made in monthly installments within fourteen (14) days of invoice issuance. A 10% advance payment is required to confirm the engagement and initiate recruitment of the Nurse team. Late payments shall attract a penalty of 2% per month.
3.3 Contract Duration: The service period is twelve (12) months, renewable by mutual written agreement. Either party may terminate the contract with sixty (60) days written notice.
3.4 Compliance: All Nurse staff shall comply with the Tanzania Medical and Dental Practitioners Act, the Tanzania Nursing and Midwifery Council regulations, and all applicable health and safety standards enforced in Tanzania Dar es Salaam.
3.5 Insurance and Liability: MediCare Professional Health Services Ltd. shall maintain comprehensive professional indemnity insurance and workers' compensation coverage for all deployed Nurse personnel throughout the contract period.
3.6 Confidentiality: All patient records, clinical data, and operational information accessed by the Nurse team shall be treated as strictly confidential in accordance with Tanzanian data protection legislation.
3.7 Dispute Resolution: Any disputes arising from this Quotation Estimate or the subsequent service agreement shall be resolved through mediation in Tanzania Dar es Salaam, failing which the matter shall be referred to the Commercial Court of Tanzania.
Note: This Quotation Estimate does not constitute a binding contract until a formal Service Agreement is executed by both parties.
