4.1 Validity: This Quotation Estimate shall remain valid for a period of sixty (60) calendar days from the date of issue. Any acceptance beyond this period will require a revised Quotation Estimate reflecting current market rates and availability of the Oceanographer.
4.2 Payment Schedule: A fifty percent (50%) advance payment, equivalent to ARS 9,377,500, is due upon signed acceptance of this Quotation Estimate. The remaining fifty percent (50%) shall be due within fifteen (15) business days of the final delivery of the technical report and all supporting data sets.
4.3 Scope Modifications: Any changes to the scope of work outlined in Section 2 must be agreed upon in writing by both parties. Additional services will be billed at the Oceanographer's standard daily rate of ARS 185,000 plus applicable materials and travel costs.
4.4 Intellectual Property: All data, reports, and findings generated under this engagement shall become the property of the Municipality of Córdoba upon full payment. The Oceanographer retains the right to publish anonymized scientific findings in peer-reviewed journals, subject to a thirty-day prior notification to the client.
4.5 Force Majeure: Neither party shall be held liable for delays or non-performance resulting from natural disasters, government-mandated closures, or other events beyond reasonable control, particularly those affecting fieldwork access in Argentina Córdoba.
4.6 Governing Law: This Quotation Estimate and any resulting contract shall be governed by the civil and commercial laws of the Province of Córdoba, Argentina, and the national legislation of the Argentine Republic.
By signing below, the client acknowledges receipt of this Quotation Estimate and authorizes the Oceanographer to commence the services described herein under the terms and conditions set forth in this document.
