1. Validity: This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After this period, Oceanographer reserves the right to revise pricing due to currency fluctuations, supply chain changes, or updated import regulations in Colombia.
2. Payment Terms: 40% advance payment upon contract signing; 35% upon delivery and installation of all oceanographic equipment in Colombia Bogotá; 25% upon final acceptance and delivery of the project report. Payments shall be made in Colombian Pesos (COP) via bank transfer to Oceanographer's account at Banco de Bogotá, NIT 901.234.567-8.
3. Delivery Timeline: All oceanographic instruments and software shall be delivered to the client's facility in Colombia Bogotá within sixty (60) calendar days from the date of contract execution. Field deployment at coastal sites shall commence within ten (10) business days of equipment delivery.
4. Warranty: Oceanographer provides a standard twelve (12) month warranty on all hardware components. The annual service contract (Item 7) extends comprehensive maintenance coverage. Software licenses include one (1) year of updates and technical support.
5. Intellectual Property: All data generated during the project shall be the exclusive property of the client (INIM). Oceanographer shall not reproduce, publish, or distribute any oceanographic data without written authorization.
6. Applicable Law: This Quotation Estimate and any resulting contract shall be governed by the commercial laws of the Republic of Colombia. Any disputes shall be resolved through the competent courts of Bogotá D.C.
7. Force Majeure: Neither party shall be liable for delays caused by natural disasters, government sanctions, port closures, or other events beyond reasonable control, in accordance with Colombian commercial law.
8. Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms of this Quotation Estimate and all project-related information exchanged during the engagement.
Acceptance and AuthorizationBy signing below, the client acknowledges receipt of this Quotation Estimate from Oceanographer and agrees to the terms and conditions outlined herein.
