2. Scope of Services – Oceanographer Engagement

The Oceanographer engaged under this Quotation Estimate shall perform the following duties at the designated research site in Germany Frankfurt:

4. Terms and Conditions

This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. Any acceptance beyond this period requires written reconfirmation from Meridian Oceanographic Solutions GmbH.
Payment terms: 30% advance payment upon contract signature; 40% upon completion of the six-month milestone; 30% upon final project delivery and acceptance in Germany Frankfurt.
All invoices shall be issued in Euro (EUR) and are payable within fourteen (14) days of invoice date via bank transfer to the account specified on the invoice. Late payments shall accrue interest at the statutory German rate (Basiszinssatz + 8 percentage points for business transactions).
The Oceanographer engaged under this Quotation Estimate shall comply with all applicable German data protection regulations (GDPR / DSGVO) and Hessian state research ethics guidelines while operating in Frankfurt.
Intellectual property generated during the engagement shall be jointly owned by Meridian Oceanographic Solutions GmbH and the host institution in Germany Frankfurt, as further detailed in a separate IP addendum to be executed prior to commencement.
Either party may terminate the engagement with a written notice period of sixty (60) days. In the event of early termination, all costs incurred up to the termination date, plus a 10% administrative fee, shall be invoiced.
This Quotation Estimate does not constitute a binding contract until both parties have executed a formal Service Agreement incorporating the terms herein.
Disputes arising from this Quotation Estimate or the subsequent contract shall be governed by the laws of the Federal Republic of Germany, with exclusive jurisdiction vested in the competent courts of Frankfurt am Main, Hesse.
