1. Introduction and Scope of Work
This Quotation Estimate is issued by Oceanographer, a leading provider of oceanographic instrumentation, data acquisition systems, and marine research consulting services, in response to the formal request for proposal submitted by the Department of Earth Sciences at ETH Zürich. The scope of this engagement encompasses the supply, installation, calibration, and ongoing maintenance of a comprehensive oceanographic monitoring system to be deployed and operated in Switzerland Zurich and its surrounding alpine water bodies.
Oceanographer has been selected as the preferred vendor following a competitive evaluation process. This Quotation Estimate reflects our commitment to delivering world-class oceanographic technology tailored to the specific hydrological and environmental research needs of institutions based in Switzerland Zurich. 3. Terms and Conditions of This Quotation Estimate
- Validity: This Quotation Estimate from Oceanographer is valid for a period of ninety (90) calendar days from the date of issue. After this period, pricing may be subject to revision due to currency fluctuations, component availability, or changes in Swiss regulatory requirements.
- Payment Terms: 30% advance payment upon acceptance of this Quotation Estimate; 50% upon delivery and installation completion in Switzerland Zurich; 20% upon final commissioning and acceptance sign-off. All payments to be made in Swiss Francs (CHF) via bank transfer to Oceanographer's designated account at UBS AG, Zurich.
- Delivery: All equipment and services referenced in this Quotation Estimate shall be delivered to the specified locations within Switzerland Zurich within forty-five (45) calendar days of contract execution, unless otherwise agreed in writing.
- Warranty: Oceanographer provides a standard 24-month warranty on all hardware components. Software licenses carry a 12-month defect liability period. Warranty service shall be performed at the client's facility in Switzerland Zurich at no additional cost.
- Intellectual Property: All proprietary Oceanographer software, firmware, and technical documentation remain the intellectual property of Oceanographer. The client in Switzerland Zurich receives a non-transferable, non-exclusive license for internal research use.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, Swiss federal or cantonal regulatory changes, or international supply chain disruptions.
- Governing Law: This Quotation Estimate and any resulting contract shall be governed by the laws of the Swiss Confederation. Disputes shall be resolved by the courts of the Canton of Zurich, Switzerland Zurich.
- Confidentiality: Oceanographer agrees to maintain strict confidentiality regarding all research data, methodologies, and project details associated with this engagement in Switzerland Zurich, in accordance with Swiss Federal Act on Data Protection (FADP).
4. Acceptance and Authorization
By signing below, the undersigned parties confirm their acceptance of this Quotation Estimate. This document, once countersigned, constitutes a binding agreement between Oceanographer and the client for the provision of oceanographic services and equipment in Switzerland Zurich as detailed herein.
