This Quotation Estimate is issued by Oceanographer Ltd., a specialist marine research and oceanographic consultancy headquartered in London, United Kingdom, in response to the formal Request for Quotation (RFQ) reference TEIA/2025/0388. 3.1 Validity: This Quotation Estimate shall remain valid for a period of ninety (90) calendar days from the date of issue, after which Oceanographer Ltd. reserves the right to revise pricing due to fluctuations in fuel costs, vessel availability, or United Kingdom regulatory changes.

3.2 Payment Terms: Payment shall be made within thirty (30) days of invoice date by direct bank transfer to Oceanographer Ltd.'s designated account at Barclays Bank, London. A 10% advance payment is required upon contract execution to secure vessel and crew availability. The remaining balance shall be invoiced in two equal instalments: 50% upon completion of fieldwork and 50% upon delivery of the final report and datasets.

3.3 Cancellation: Should the client cancel this engagement prior to commencement, a cancellation fee of 15% of the total contract value shall apply. Cancellation during fieldwork shall incur a fee of 30% of the total contract value plus any non-recoverable vessel and crew costs incurred to date.

3.4 Force Majeure: Oceanographer Ltd. shall not be liable for delays or non-performance caused by adverse weather conditions exceeding Beaufort Force 6, navigational restrictions imposed by the Port of London Authority, or any other event beyond the reasonable control of the parties, as defined under United Kingdom common law.

3.5 Intellectual Property: All raw survey data, processed datasets, charts, and reports produced under this Quotation Estimate shall become the sole property of the client upon full payment. Oceanographer Ltd. retains the right to use anonymised data for internal quality benchmarking and academic publication, subject to prior written consent from the client.

3.6 Governing Law: This Quotation Estimate and any resulting contract shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of London, United Kingdom.

3.7 Insurance: Oceanographer Ltd. maintains comprehensive marine liability insurance, public liability insurance (minimum £10,000,000), and professional indemnity insurance (minimum £5,000,000) with Lloyd's of London underwriters, valid throughout the duration of the project.
