3.1 Validity: This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. After this period, the Oceanographer reserves the right to revise pricing due to fluctuations in equipment rental costs, fuel surcharges, or changes in United States Chicago regulatory fees.
3.2 Payment Schedule: Payment shall be structured as follows: 25% upon execution of the contract, 40% upon completion of fieldwork phases (Items 1–4), 25% upon delivery of the Final Technical Report, and 10% upon successful presentation to the United States Chicago City Council. All payments are due within thirty (30) days of invoice date.
3.3 Scope Changes: Any modifications to the scope of the Oceanographer services beyond what is described in this Quotation Estimate must be documented in a formal Change Order signed by both parties. Additional costs will be assessed at the unit rates specified in Section 2.
3.4 Insurance & Liability: The Oceanographer and all supporting personnel shall maintain comprehensive general liability insurance with a minimum coverage of $2,000,000 per occurrence, as well as marine vessel insurance, for the duration of all operations in United States Chicago waters.
3.5 Intellectual Property: All data, reports, and deliverables produced under this Quotation Estimate shall become the property of the client upon full payment. The Oceanographer retains the right to publish anonymized scientific findings in peer-reviewed journals, subject to a 60-day prior review period by the client.
3.6 Governing Law: This Quotation Estimate and any resulting contract shall be governed by and construed in accordance with the laws of the State of Illinois and the federal laws of the United States of America. Any disputes shall be resolved through binding arbitration in the United States Chicago metropolitan area under the rules of the American Arbitration Association.
3.7 Force Majeure: Neither party shall be liable for delays or failures in performance caused by acts of God, severe weather conditions on Lake Michigan, government-mandated shutdowns, or other events beyond reasonable control, provided that the affected party notifies the other within 48 hours.
