Payment for this Quotation Estimate shall be structured as follows: twenty-five percent (25%) upon execution of the contract; thirty-five percent (35%) upon completion of all fieldwork phases in United States Los Angeles; and forty percent (40%) upon delivery and acceptance of the final technical report and all data deliverables. All invoices are payable within thirty (30) days of receipt. Late payments shall accrue interest at a rate of 1.5% per month as permitted under California commercial code.
4.1 This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After the expiration date, all pricing, availability of the Oceanographer team, and vessel charter rates are subject to revision.
4.2 All Oceanographer services described herein shall be performed in strict accordance with the National Environmental Policy Act (NEPA), the California Environmental Quality Act (CEQA), and all applicable U.S. Coast Guard and California state marine regulations.
4.3 The Oceanographer and all supporting personnel shall maintain professional liability insurance with a minimum coverage of $5,000,000 per occurrence, naming the client as an additional insured party.
4.4 Any change in scope, additional survey stations, extended vessel time, or unforeseen weather-related delays in United States Los Angeles waters shall be documented via a formal Change Order signed by both parties before work proceeds.
4.5 All raw data, processed datasets, and final reports generated under this Quotation Estimate shall become the sole property of the client upon full payment. The Oceanographer retains the right to publish anonymized scientific findings in peer-reviewed journals with prior written notice to the client.
4.6 This Quotation Estimate does not constitute a binding contract until countersigned by both parties. Governing law for any disputes shall be the laws of the State of California, United States, with exclusive jurisdiction in the Superior Court of Los Angeles County.
By signing below, the client acknowledges receipt of this Quotation Estimate for Oceanographer services in United States Los Angeles and authorizes Pacific Coastal Oceanographic Consulting Group to proceed with the described scope of work upon execution of the formal service agreement.
