All Paramedic personnel deployed under this Quotation Estimate shall hold a minimum of a Bachelor's degree in Paramedic Science or an equivalent Advanced Life Support (ALS) certification recognized by the Iraqi Ministry of Health. Each Paramedic assigned to the Iraq Baghdad sites will possess a valid Iraqi medical practice license, a current security clearance issued by the relevant Iraqi authorities, and a minimum of three (3) years of operational experience in high-risk or industrial environments. All Paramedic staff will undergo a pre-deployment medical fitness assessment and a background verification in accordance with Iraqi labor and immigration regulations.
The Paramedic team will operate in strict compliance with the Iraqi Occupational Health and Safety Act, the Ministry of Health emergency response protocols, and the client's internal safety management system. Monthly compliance audits will be conducted, and all findings will be documented in the Paramedic service reports submitted to the client.
- Validity: This Quotation Estimate remains valid for thirty (30) days from the date of issue. Any acceptance beyond this period requires written reconfirmation of pricing.
- Payment Terms: Payment shall be made in US Dollars via bank transfer to the account of MediGuard International Paramedic Services LLC. Invoices are issued monthly in arrears, with payment due within twenty-one (21) calendar days of invoice date.
- Advance Payment: A 15% advance payment is required upon contract signature to cover initial Paramedic recruitment, licensing, and equipment procurement in Iraq Baghdad.
- Scope Changes: Any modification to the Paramedic service scope, headcount, or operational hours must be agreed upon in writing. A revised Quotation Estimate will be issued for any change exceeding 10% of the original contract value.
- Force Majeure: Neither party shall be liable for delays or non-performance resulting from events beyond reasonable control, including but not limited to civil unrest, government-imposed curfews, or pandemics affecting Iraq Baghdad operations.
- Confidentiality: All medical records, personnel data, and operational details related to the Paramedic services in Iraq Baghdad shall be treated as strictly confidential and shall not be disclosed to third parties without written consent.
- Termination: Either party may terminate the contract with sixty (60) days' written notice. In the event of termination, all Paramedic personnel and equipment will be withdrawn from the Iraq Baghdad sites within the notice period.
- Governing Law: This Quotation Estimate and any resulting contract shall be governed by and construed in accordance with the laws of the Republic of Iraq. Disputes shall be resolved through arbitration in Baghdad under the rules of the Iraqi Arbitration Center.
