This Quotation Estimate is issued by Andes Energy Solutions S.A. to formally present the cost structure, deliverables, and professional terms for the engagement of a senior Petroleum Engineer to support the client’s upstream exploration and production operations in the Neuquén Basin. The scope of this Quotation Estimate covers a comprehensive package of petroleum engineering consulting services to be executed primarily from our office in Argentina Buenos Aires, with periodic field deployments to the Vaca Muerta shale formation. All rates, timelines, and conditions outlined in this Quotation Estimate are binding upon mutual acceptance by both parties.

Validity: This Quotation Estimate remains valid for thirty (30) calendar days from the date of issue. After this period, all rates and availability of the Petroleum Engineer team are subject to revision.
Payment Schedule: 30% advance upon contract execution; 40% upon completion of Items 01–03; 30% upon final delivery and acceptance of all deliverables. Payments shall be made via wire transfer to the account of Andes Energy Solutions S.A. in Buenos Aires, Argentina.
Intellectual Property: All reports, models, and data generated by the Petroleum Engineer under this engagement shall become the exclusive property of the client upon full payment. Andes Energy Solutions S.A. retains the right to use anonymized methodologies for internal R&D purposes.
Confidentiality: Both parties agree to maintain strict confidentiality of all technical, commercial, and geological data exchanged during the project, in compliance with Argentine Law 25,326 on Personal Data Protection.
Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, or civil unrest in Argentina Buenos Aires or the Neuquén Province.
Governing Law: This Quotation Estimate and any resulting contract shall be governed by the laws of the Argentine Republic. Disputes shall be resolved by arbitration in Buenos Aires under the rules of the Cámara de Comercio de Buenos Aires.
Subcontracting: The Petroleum Engineer services may be supported by junior engineers and geoscientists under the direct supervision of the lead Petroleum Engineer. No subcontracting of core engineering deliverables is permitted without written consent.
Revisions: Two (2) rounds of revisions are included per deliverable. Additional revisions will be billed at the hourly rate of USD 250 per hour for the Petroleum Engineer’s time.

By signing below, both parties acknowledge that this Quotation Estimate accurately reflects the agreed-upon scope, pricing, and terms for the Petroleum Engineer services to be rendered in and around Argentina Buenos Aires. This document, once countersigned, constitutes a binding commercial proposal and may be converted into a formal service contract within fifteen (15) business days.
