The scope of work encompasses reservoir characterization, wellbore trajectory analysis, hydraulic fracturing design review, production forecasting, and compliance assessment in accordance with the regulatory framework established by the Córdoba Provincial Ministry of Energy and the national Secretaría de Energía de la República Argentina. All services will be performed by a certified Petroleum Engineer holding a minimum of fifteen (15) years of field experience in the Vaca Muerta formation and adjacent basins within Argentina Córdoba.

This Quotation Estimate assumes that the client will provide all existing well logs, core samples, seismic data, and operational history for the target wells in Argentina Córdoba within ten (10) business days of contract execution. The Petroleum Engineer will not be responsible for the procurement of third-party laboratory analyses, the acquisition of new seismic surveys, or the execution of any physical drilling or completion operations. All payments shall be made in United States Dollars (USD) via wire transfer to the account designated by Andes Petroleum Consulting S.A. Payment terms are net fifteen (15) days from invoice date. Late payments shall accrue interest at the rate of 1.5% per month, in accordance with Argentine commercial law applicable in Córdoba.

• This Quotation Estimate is valid for thirty (30) days from the date of issue. After this period, pricing may be adjusted to reflect changes in the Argentine peso exchange rate or market conditions in Argentina Córdoba.
• The Petroleum Engineer engaged under this contract shall maintain full professional liability insurance with a minimum coverage of USD 1,000,000 per occurrence.
• All intellectual property, data, and deliverables produced under this engagement shall become the exclusive property of the client upon full payment.
• Confidentiality obligations shall survive the termination of this agreement for a period of five (5) years.
• Disputes arising from this Quotation Estimate or the resulting contract shall be resolved through arbitration in Córdoba, Argentina, in accordance with the rules of the Argentine Chamber of Commerce.
• Force majeure events, including but not limited to natural disasters, government sanctions, or pandemics affecting operations in Argentina Córdoba, shall suspend obligations without penalty.
